As Senior Commercial Counsel, you’ll serve as the primary legal partner for our Sales and Deal Desk teams, owning the commercial contract lifecycle from drafting through execution. You will support Greenhouse’s continual growth upmarket by negotiating complex enterprise-grade deals while balancing speed with sound risk management. You’ll also play a key role in a major strategic initiative as we re-tier and renew our customer base over the next few years. Based in the USA and reporting to the Legal Director of Commercial & Product, you will join a legal team focused on delivering practical, business-oriented guidance. Requirements

  • JD from an accredited law school and an active bar membership in at least one U.S. jurisdiction
  • 7+ years of legal experience, with at least 3 years focused on enterprise commercial or transactional work
  • Deep expertise in B2B SaaS agreements, including MSAs, SaaS terms, AI addendums, and SLAs
  • Working knowledge of GDPR, CCPA, and related privacy frameworks
  • Experience supporting complex deals in upmarket and enterprise segments
  • In-house SaaS experience required

  • Familiarity with HR Tech, recruiting, or workforce software, a plus
  • Experience with AI/ML contract terms and emerging AI regulations, a plus

Responsibilities

  • Lead commercial negotiations by drafting, reviewing, and negotiating MSAs, Order Forms, DPAs, and other customer-facing agreements with minimal oversight
  • Partner with Sales and Deal Desk leaders across enterprise and mid-market segments to navigate complex deal terms
  • Work cross-functionally with the Partnerships team on strategic and channel partner agreements, including API agreements and technology alliances
  • Manage data privacy and security reviews by handling DPA negotiations and collaborating with Security teams on customer questionnaires
  • Build scalable processes by leading opportunities to streamline contracting workflows through AI tools and template improvements
  • Advise on contractual risk, liability, and compliance issues with a business-oriented perspective
  • Additional projects and responsibilities as business needs require
