About The Position

At Freshworks, we build software that helps businesses deliver exceptional customer and employee experiences. As we continue to grow across North America, we're looking for a Senior Commercial Counsel who wants to play a strategic role in how deals get done. This isn't a role where legal simply reviews contracts at the end of the process. You'll sit at the table with Sales, Channels, Customer Success, Finance, and Operations leaders, helping shape deals, guide risk decisions, and build scalable contracting processes for a fast-growing SaaS business. You'll join a highly collaborative global legal team, report directly to the VP of Legal, and have the opportunity to influence both deal strategy and how legal supports the business as we scale. If you're a commercial attorney who enjoys solving complex deal challenges, partnering with the business, and building smarter ways to contract, this role offers real impact.

Requirements

  • 8+ years of experience as a transactional attorney
  • Background in SaaS or technology transactions, either in-house or at a leading law firm
  • Deep experience negotiating enterprise SaaS agreements and commercial contracts
  • Familiarity with channel partnerships, vendor agreements, DPAs, and services agreements
  • Strong ability to translate legal risk into clear business guidance
  • Comfortable operating in a fast-moving, high-growth environment
  • Known for being a collaborative, solutions-oriented partner
  • JD from an accredited U.S. law school and active license (or eligibility) to practice law in California

  • Structuring channel, reseller, and marketplace partnerships
  • Supporting strategic, high-value deals
  • Advising on professional services, vendor, and data protection agreements
  • Be a True Partner to the Business
  • Advising on deal structure and risk tradeoffs
  • Helping teams navigate non-standard or complex contract terms
  • Providing clear, practical guidance that enables speed without sacrificing good judgment
  • Build Scalable Contracting
  • Improve templates, playbooks, and negotiation frameworks
  • Partner with Deal Desk and Operations to streamline deal execution
  • Identify ways to reduce friction and speed up contracting across North America
  • Collaborate Across a Global Legal Team
  • Provide Practical Risk Guidance
  • Advising on issues across: Commercial contracting, Intellectual property, Data privacy and security considerations
