Requirements

5+ years of experience in corporate and securities law
Active membership in a U.S. state bar, preferably California or New York
Strong knowledge of corporate governance, equity, and securities matters
Excellent legal judgment and problem-solving skills
Clear written and verbal communication skills
Proactive, self-directed approach with strong organizational skills
Ability to synthesize legal research into practical solutions

Responsibilities

Advise on corporate and securities matters, including financings and strategic transactions
Support equity administration and cap table management
Drive complex legal projects from issue identification to resolution
Contribute across various legal areas, including regulatory and commercial matters
Manage corporate governance for the company and its subsidiaries
Provide legal guidance on employment law matters domestically and internationally
Develop and interpret corporate policies in collaboration with business leaders
Guide on legal implications of corporate changes like mergers and acquisitions
Assist with vendor and commercial contracts as needed
