This position will be part of the Technology and Products Group in the Legal department. The Procurement Counsel role is an important part of building the culture and success of the legal function to help drive Proofpoint’s growth. Role Overview: The Procurement Counsel will join a collaborative legal team and will work with cross-functional teams, peers, and staff to advance business objectives. The successful candidate will be responsible for supporting Proofpoint’s finance, engineering, marketing, sales, IT and other business units.

Requirements

  • J.D. / LL.B. and member in good standing with the applicable bar or law society.
  • 2–5 years of legal experience in commercial contracting, procurement, or a related practice area at a law firm or in-house.
  • Strong experience drafting and negotiating vendor, supply, and services agreements .
  • Practical, solution-oriented approach to managing legal and commercial risk.
  • Excellent communication skills and ability to work cross-functionally with business teams and provide support in a fast-paced environment.

Responsibilities

  • Draft, review, and negotiate a wide range of procurement agreements including services agreements, technology and SaaS contracts, and related commercial documents.
  • Provide legal guidance to procurement and business teams on vendor engagement, contract structuring, and risk management.
  • Advise on contract interpretation, dispute management, and vendor performance issues.
  • Develop, maintain, and improve procurement contract templates and playbooks.
  • Work collaboratively with internal stakeholders to ensure efficient contracting processes and alignment with company policies.
