Position Summary The Corporate Paralegal will support the legal department with a wide range of corporate, governance, transactional, and compliance matters. This role is responsible for subsidiary management, maintaining corporate records, assisting with supporting the company’s board of directors, assisting with M&A transactions, and providing substantive legal and administrative support to attorneys. The ideal candidate is detail‑oriented, highly organized, and able to manage multiple deadlines.

Requirements

  • Bachelor’s degree or equivalent experience.
  • 4–6 years of corporate paralegal experience, with at least 2+ years supporting Exchange Act filings or public company governance.
  • Strong understanding of corporate governance, commercial contracts, and transactional processes.
  • Excellent organizational skills, attention to detail, and ability to handle multiple priorities.
  • Proficiency with Microsoft 365; experience with contract management systems a plus.

Nice To Haves

  • Paralegal certification (e.g., NALA, NFPA, ABA‑approved program).
  • Notary certification.
  • Experience supporting proxy statements and/or Section 16 reporting.
  • Knowledge of entity and board management platforms (e.g., CSC, Diligent).

Responsibilities

  • Corporate Governance & Entity Management Maintain domestic and international subsidiary records, including formation documents, bylaws, operating agreements, and organizational charts.
  • Manage annual filings, qualifications, withdrawals, and other corporate compliance matters.
  • Prepare drafts of board and shareholder resolutions, written consents, and meeting materials.
  • Support corporate secretary function, including minute book maintenance.
  • Compliance & Operational Support Assist with preparation, drafting, and proofreading of Forms 10‑K, 10‑Q, and 8‑K
  • Coordinate gathering of financial, legal, operational, and narrative inputs from cross‑functional teams for quarterly and annual reports.
  • Help prepare proxy statements, including director and officer questionnaires, shareholder proposal tracking, and data coordination.
  • Support Section 16 reporting, including preparing and reviewing Forms 3, 4, and 5.
  • Manage the internal compliance training calendar.
  • Support internal policies, audits, and process‑improvement initiatives.
  • Transactional Support (M&A) Support attorneys on mergers, acquisitions, divestitures, and other strategic transactions.
  • Assist with due diligence review, including organizing data rooms, summarizing findings, and tracking document requests.
  • Prepare signature packets, manage closing checklists, and coordinate execution and completion of closing deliverables.
  • Assist with post‑closing integration and document management.
  • General Legal Department Support Serve as notary for company documents.
  • Assist with various legal team projects.
  • Serve as a point of contact for internal stakeholders seeking legal department guidance.

  • Base Salary Range: $93,600.00 - $140,400.00, offered in good faith and based on experience, location, and qualifications.
