About The Position

We are seeking a highly experienced Senior Corporate Paralegal with at least 8 years of in-house or corporate law experience to join our legal team. This role combines deep legal expertise with the ability to leverage AI-powered tools for greater efficiency in corporate governance and record keeping, state corporate law compliance, and in-house legal department operations. The ideal candidate is proactive, detail-oriented, and embraces technology to optimize workflows while ensuring accuracy and compliance.

Requirements

  • Strong knowledge of corporate governance, entity management, and contract processes.
  • Experience and willingness to adopt AI-enabled tools for in-house legal departments.
  • Excellent drafting, organizational, and project management skills.
  • Strong interpersonal skills and communication skills, with a business-partner mindset.
  • High level of integrity, discretion, and understanding of ethics in legal practice.

Responsibilities

  • Prepare and maintain corporate records, board resolutions, meeting minutes, and subsidiary management documents.
  • Assist in the preparation of Board and Committee materials for the holding company and subsidaries
  • Manage all director and officer qualifications and security communications with the various departments of insurance such as “know your customer, ”biographical affidavits and fingerprints
  • Manage entity compliance with secretary of state, registered agent and related filings across all United States jurisdictions.
  • Ensure compliance with state and federal corporate filing deadlines.
  • Serve as Corporate Secretary for the company’s SEC-regulated investment fund complex.
  • Prepare regulatory reporting as delegated, including state fraud reporting.
  • Coordinate and track employee training with respect to privacy and fraud ,and other areas as may be assigned.
  • Evaluate and implement systems and processes for efficient legal operations.
  • Responsible for ensuring efficient department operations through tasks such as scheduling meetings, preparing agendas, recording meeting minutes, and tracking action items to completion.
  • Legal department vendor management including payment processing.
  • Monitor legal department spend to comply with budget constraints
  • Identify, assess and lead implementation of AI strategies and tools for the Legal Department.
  • Collaborate with cross-functional teams on AI tool integration and adoption.
