About The Position

The Manager, Strategic Governance oversees the IEEE Technical Activities Board Governance needs and manages processes related to the on-going management of new motions, edits, tracking, and compliance of governance procedures and documents such as the the TAB Operations Manual and related Society/Council governance documents are aligned properly with the IEEE requirements. The incumbent in this position is expected to be a strategic partner in assisting TA Staff and Volunteers through the process of introducing changes to operating manuals as well as S/C by-laws and constitutions such as new programs, changing procedures, funding new activities, etc. This position will actively engage with volunteers and staff within Technical Activities constituencies to recommend and support the development of effective governance structures around services, programs, and activities. The individual will have significant interaction and work in collaboration with high-level IEEE volunteers and the professional staff at all levels across the organization to ensure management of the entire governance process including TAB, TAB Committees, and the nested TAB Units, Committees and Societies/Councils. This person will serve in a leadership role on the Strategic Programs & Governance team assisting with oversight of operations of the team managed by the Senior Director, Strategic Programs & Governance, will manage select volunteer facing and internal processes and procedures for the Governance team, will serve as an advisor on Board-related matters across Technical Activities, and will lead/manage other governance and Board-related special projects. This person is a problem solver, an initiator, and an implementer for improved operations and technology. This role reports to the Senior Director, Strategic Programs & Governance has two direct reports, and significantly influences the work of others. The nature of the work is strategic and requires a detailed and sophisticated knowledge and understanding of IEEE's policies, procedures, practices, and how to manage relationships across IEEE OUs and with volunteers. The role translates strategic priorities into functional plans. This individual is authorized to approve purchases, contracts, and expenditures up to $10,000 for the IEEE and recommends annual budgetary needs.

Requirements

  • Bachelor's degree or equivalent experience in a related field such as non-profit management
  • 7-10 years experience with non-profit management, governance, policies and procedures, and/or parliamentary procedures

  • Ability to travel 10%25-15%25 of the year outside of the local region domestically as well as internationally with valid travel credentials.

Nice To Haves

  • Master's or other advanced degree or certification in a related field such as non-profit management, organizational governance, etc
  • Experience in volunteer or client management and engagement (certification is a plus)
  • Proficient in governance, document management, Robert's Rules of Order and/or parliamentary procedure (certification is a plus)

Responsibilities

  • Manages governance functions related to the TAB, its 20+ Committees, as well as assorted AdHoc committees (greater than 10 annually) and special projects.
  • Attends, and provides support as needed, to various Society and Technical Council governing bodies, Technical Committee leadership, and other OU groups. Serves as staff contact for society questions and provides advice and guidance on IEEE and TA processes.
  • Responsible for support of new OU governance structures, including establishment of appropriate governance, approval processes, questions of program and product development, financial issues, membership issues, and other related start-up issues.
  • Develops and maintains governance documents and serves as subject matter expert for IEEE and OU bylaws, operations manuals, policies, parliamentary procedures, elections. Leads cross-departmental teams involved in governance activities and requirements. Serves as subject matter expert in parliamentary procedures.
  • Collaboration with and matrix reporting to the Staff Executive, Corporate Activities on items related to TA Governance and/or items moving through the process and up to the IEEE Board of Directors on a regular basis including tracking reports, analysis, and meetings as requested will be entwined with the on-going activities of this position.
  • Pro-activity ensures TAB Governance compliance with IEEE Governance Operations and Manual changes
  • Communicates effectively with both Corporate and TA Leadership on issues of concern with potential IEEE changes and TA proposed changes
  • Provides governance advice and assistance with volunteer leaders and professional staff
  • Partners with volunteer leaders and staff to draft and refine Governance related documents, motions, and presentations related to items
  • Drives decision-making in partnership with IEEE Corporate and TA stakeholders on Governance matters and procedures related to staff and volunteer leadership onboarding for Governance Specific Volunteers. Develops and delivers presentations related to onboarding, ongoing resources/support, and continuing professional development for the IEEE Technical Activities Board and its many committees
  • Influences and effectively communicates with IEEE’s volunteer leaders and staff and thereby also facilitates problem-solving
  • Manages the creation, implementation, and oversight of the Strategic Governance Team budget and forecasts
  • Leads and manages special projects to enable the delivery of transformational projects
  • Directly responsible for the motivation and oversight of the Strategic Governance staff team(s) including matrix coordination with IEEE Governance, related OUs, intra-departmental working groups, and related project teams
  • Establishes a performance-oriented, accountable team culture with appropriate performance appraisal, and professional development
  • Assists the Senior Director, TA Strategic Programs & Governance with strategic initiative workflow planning and the department staffing
  • Provides ongoing support to the Senior Director, TA Strategic Programs & Governance by assuming managerial responsibility for departmental projects requiring additional oversight or representation by senior departmental staff
