About The Position

The Manager, Corporate Development will be a strategic partner to the Vice President, Corporate Development, who directly reports into the Chief Financial Officer of Fortive. This role will support Fortive’s global M&A efforts across both of its business segments, including conducting due diligence, collaborating with teams of operating company leaders and relevant subject matter experts in developing and communicating a point of view on potential acquisitions, investments, and partnership opportunities, as well as delivering all requisite financial modeling, valuation work, and deal execution. This is a highly visible role, interacting frequently with Operating Company Presidents and other senior leaders, and often representing Fortive with external audiences and prospective targets and partners. Requirements

  • 2-3 years of M&A experience at an investment bank, M&A advisory boutique, private equity fund, corporate development group, or relevant financial services firm that provides M&A advisory and transaction services
  • BS or BA from an accredited university
  • Experience leading or supporting M&A transactions and/or due diligence
  • Strong quantitative, financial, and analytical skills: ability to build, critique and refine financial models and related analyses quickly and accurately – be the expert on the details/numbers and change “altitude” thoughtfully (i.e., go from details to big picture and back)
  • Deep understanding of core valuation methodologies (including comparable company trading comps, precedent transaction comps, DCF, ROIC, LBO analysis, etc.) and the strengths, weaknesses and tradeoffs among these methodologies, and the ability to deploy them to arrive at a recommended valuation range in support of M&A bidding strategies
  • Intellectual curiosity, evidenced by work experience in a second subject area, an advanced technical degree, or other credentials
  • Strong listening and communication skills – willingness to listen and understand questions and the ability to distill complex concepts into clear, concise, and actionable decision frames for lay audiences and colleagues in Legal, R&D, Finance, etc.
  • Presence and ability to lead when challenged or in adversarial situations (e.g., negotiations) and in the face of complexity
  • Ability to quickly earn credibility and trust in highly confidential and high-stakes situations

  • Willingness to “go to Gemba” (i.e., where the work is done) – traveling to engage target management and drive effectiveness of internal teams face-to-face, when and where improve outcomes
  • “Shareholder value” focus – understanding and acceptance of linkage between personal success and corporate value creation through effective capital deployment and excellent execution.

Nice To Haves

  • Experience in Industrial Technology and/or Healthcare markets is a strong plus
  • Exposure to IoT, software, and SaaS business models is also a plus

Responsibilities

  • Support the identification, prioritization, and evaluation of potential acquisition, investment, and partnership opportunities of interest to Fortive and its operating companies
  • Monitor the competitive landscape to help identify and prioritize opportunities that accelerate our strategy, including thorough tracking of public companies, cultivating relevant companies, and interaction with investment bankers and other external sources of opportunities in coordination with the Corporate Development team
  • Form independent points of view on the risks and opportunities associated with potential acquisition and investment targets
  • Work with the Corporate Development team and Operating Company leaders to build financial models, including detailed P&L and cash flow forecasts for potential M&A targets
  • Build valuation models for potential targets to support internal approval and external bidding processes, including comparable company / precedent transaction multiples analyses, Discounted Cash Flow analyses, Accretion / Dilution models, and LBO models
  • Support due diligence processes, including structuring and coordination of cross-functional workstreams across finance, legal, tax, and operating teams, as well as distillation / reporting of key due diligence findings
  • Support deal execution logistics, including coordination of information and workflows with both external advisors (financial, tax, legal, etc.) and internal teams
  • Ensure successful integration of completed deals by supporting internal deal sponsors from initial integration readiness assessment and integration planning through to launch of the post-closing 100 Day Plan, including with respect to critical strategy, commercial, and financial insights derived from transaction due diligence
  • Drive continuous improvement of our M&A funnel management, acquisition target identification, due diligence, and deal execution through the use of “Fortive Business System” processes, tools, and frameworks, including refinement / improvement of key elements of standard work for the M&A process
