About The Position

Our AmLaw 100 client is hiring a mid-level associate into its Life Sciences corporate practice. This is a broad company-side role for a lawyer who wants real reps across the life cycle of growth-stage and public life sciences companies. The position can sit in Boston, New York, Philadelphia, Washington, DC, San Francisco, or Silicon Valley. You’ll work on corporate transactions for venture-backed private companies and public companies in the life sciences space, including: • Equity financings • IPOs and other registered offerings • Ongoing SEC reporting and public company representation • M&A transactions • Corporate governance matters You should expect to run meaningful pieces of deals, work directly with clients, and handle more than checklist execution. This is not a narrow seat. The practice touches financings, exits, public company work, and day-to-day counseling for serious life sciences clients, with room to build range instead of getting boxed into one product. It is also a strong platform for associates who want better exposure to company-side strategy. You’ll be close to founders, boards, investors, and management teams, and you’ll work alongside lawyers who sit at the intersection of venture capital, capital markets, M&A, and healthcare. For the right mid-level associate, this is a smart move: strong brand, sophisticated deal flow, and a practice built for lawyers who want to stay close to the life sciences market as it evolves.

Requirements

  • 3 to 5 years of corporate and transactional experience at a comparable law firm
  • Strong background in public company work, registered equity offerings, SEC representation, and M&A
  • Someone who can work well with a team but also own substantial parts of a transaction without hand-holding
  • Strong academics, solid judgment, and bar admission in the relevant market, or the ability to get admitted quickly
