About The Position

Our AmLaw 100 client is hiring a mid-level to senior corporate associate to join its Life Sciences transactions practice in San Francisco. This is a core group within the firm, advising public and private life sciences companies and healthcare-focused investment funds on high-stakes, market-facing work. This role sits squarely at the intersection of capital markets, M&A, and growth-stage company counseling, with real responsibility and sustained deal flow. You will work with partners and senior associates on a wide range of sophisticated transactions, including: Public capital markets offerings, including IPOs, follow-ons, and ATM facilities Private financings such as PIPEs and venture-backed rounds Public company reporting and compliance under the Exchange Act, including Forms 10-K, 10-Q, and 8-K Public and private M&A, including structured and product-driven transactions, earnouts, spin-outs, and asset deals Ongoing strategic advice to life sciences companies and dedicated healthcare funds The practice is lean, entrepreneurial, and highly collaborative. Associates are expected to run with matters and develop client-facing judgment early.

Requirements

  • JD class years 2018–2022
  • Meaningful experience representing life sciences companies or healthcare investment funds
  • Strong exposure to capital markets transactions and public company work
  • M&A experience, including structured or non-traditional deal mechanics
  • Admitted in California or able to gain admission promptly
  • Comfortable taking ownership of deals and interfacing directly with clients and counterparties
