About The Position

Reporting to the Vice President and Chief Counsel Corporate Governance and Securities, you will support the corporate secretary function and broader entity management and transaction support with a focus on corporate governance, board support, and process improvement. You will partner closely with attorneys and cross‑functional stakeholders to ensure corporate compliance, accurate records and effective governance practices. A Taste of Your Responsibilities Support the corporate secretary function including preparation and review of board and committee materials, corporate governance documents, NYSE notifications and filings, and review of corporate governance related matters in the proxy statement. Assist with matters related to support of the board of directors. Assist attorneys in the legal department with corporate transactions, such as M&A activity and financing programs, when needed. Legal entity management, including formation and dissolution of corporate entities including drafting corporate documentation (e.g., minutes, written consents, powers of attorney, apostilles and a variety of officer certificates) as needed for business initiatives Assist with quarterly dividend payments including preparing related consents and notices and coordinating with Treasury and the transfer agent. Maintain various document management systems for corporate records including HCue. Assist with record-keeping of all corporate governance related documentation by the legal department. Coordinate the legal department’s compliance with company document retention policy including electronic records related to corporate governance and entities. Work with attorneys in the legal department on other special projects with an emphasis on improving cross-functional collaboration, process automation, legal department records management and optimizing legal operations. Ingredients Required for Your Success Bachelor’s degree Required 3+ years of experience in a law firm or public company law department, supporting corporate governance and legal entity management. Must communicate and build relationships effectively with all internal constituents from employees to senior management, as well as external service providers related to entity management. In addition to being skilled in using standard software such as Microsoft Forms, Power Automate, Outlook, Excel, Word, PowerPoint and SharePoint, must be able to follow and maintain procedures and policies related to record keeping including document management software. An employee’s actual annual salary will be based on but not limited to: location, relevant experience/level and skillset, while balancing internal Conagra employees’ equity. Requirements

  • Bachelor’s degree Required
  • 3+ years of experience in a law firm or public company law department, supporting corporate governance and legal entity management.
