About The Position

The Role We are seeking a versatile and business-minded attorney to join IDEXX’s in-house legal team to support a broad range of critical commercial legal initiatives. The Commercial Counsel will play a key role engaging with the IDEXX global supply chain organization, working on a wide variety of supplier-related commercial agreements and also helping to shape procurement workflow and contracting strategies and best practices. This person will also be a primary advisor for global privacy and data security matters and in addition will be part of our team providing support for strategic customer-facing agreements. What You Will Do You will join a highly-respected 45+ person global Legal & Compliance team, and the group of lawyers that handles global commercial legal issues. You will identify areas where specialized expertise is needed, collaborate with in-house colleagues on general commercial, antitrust, data use, regulatory, and dispute-related issues, and retain and oversee outside counsel as needed. In collaboration with our Legal Operations Team, you will identify opportunities for, and help design, implement, and manage, contract processes and related infrastructure enabling efficient commercial contracting and delivery of legal services at scale. In this role, you will serve as a trusted legal advisor and business partner across the organization, providing practical, risk-based guidance while enabling business objectives.

Requirements

  • J.D. or equivalent, with top academic credentials
  • Bar membership in good standing in at least one U.S. jurisdiction
  • Substantial experience (8+ years) at a law firm or in-house (both preferred) in substantive areas of commercial vendor and customer contracts; extensive privacy law experience; expertise working directly with internal business teams, and negotiating with vendors and customers is critical
  • Demonstrated excellent core legal skills, centered on general commercial contract structuring, drafting and negotiation experience
  • Deep experience in privacy matters in a commercial context
  • Ability to grapple successfully with complexity and to translate complex legal issues into practical guidance for business stakeholders and legal colleagues
  • Demonstrated ability both to collaborate effectively in a team environment, and to build strong collaborative connections and relationships with clients and colleagues across a global organization
  • Ability to build credibility quickly with stakeholders, and to provide practical legal expertise in challenging and complex business situations
  • Ability to confidently apply legal and business judgment in novel, fast-moving situations of significant value and impact
  • Exceptional business judgment and creativity with a track record of collaborating and thriving in a fast-paced, team environment
  • Ability to simultaneously take action that tackles immediate problems while building programs and processes that problem-solve at a programmatic leve
  • Ability to work without close oversight, and confidence to know that asking good questions is a strength
  • Excellent organizational skills, including project management
  • Superior analytical, written and verbal communication skills in both one-to-one and group contexts, in contexts ranging from negotiations to operational settings to senior executive briefings
  • Comfort in use of legal operations tools including contract lifecycle management, workflow, e-billing/matter management platforms, and emerging AI tools
  • Experience with Microsoft Office applications, including PowerPoint, Excel, and Teams

Nice To Haves

  • 2+ years experience at a regional or national law firm is highly valued
  • Experience in a highly-matrixed, multinational, public company environment is highly valued

Responsibilities

  • Provide primary support to the global supply chain organization, including drafting, reviewing, and negotiating vendor agreements
  • Working with legal and other colleagues to refine contracting processes, templates, and playbooks to drive efficiency and consistency in vendor management strategy
  • Advise on privacy and data protection matters, including compliance with applicable global privacy laws, internal policies, and contractual data protection obligations, and reviewing and negotiating data protection and data processing agreements
  • Partner with compliance, security, IT, and business and product teams to assess privacy risks and support initiatives involving personal data
  • Support customer contracting efforts, including drafting and negotiating complex commercial agreements with IDEXX’s large corporate customers
