About The Position

Goodspeed Merrill is a fast-growing, entrepreneurial law firm dedicated to helping business owners, entrepreneurs, and investors build, protect, and scale successful companies. As our firm continues to grow and expand, we are seeking an Associate Attorney to join our thriving Corporate Law practice. This role requires knowledge of and demonstrated experience in general corporate matters including, without limitation, mergers & acquisitions, corporate formation, corporate structuring, drafting and review of operating agreements, bylaws, shareholder agreements and other similar corporate documents, equity purchase and sale transactions, corporate governance, tax and liability structuring and contracts drafting & review. Our corporate practice group offers a wide range of general business support, counsel and guidance, so versatility in practice interest and expertise is a significant value add.

Requirements

  • 3-5 years of experience
  • Juris Doctorate from an accredited university
  • Licensed to practice law in the state of Colorado
  • Ability to work independently and as part of a team conducting research, preparing legal documents, and performing other duties to ensure clients receive the best and most cost-effective legal solutions
  • Develop implementation strategy and coordinate and consummate preparation of relevant documents
  • Excellent drafting skills coupled with the ability to formulate, consider and select the most appropriate solutions

Responsibilities

  • Support senior counsel in serving as a reliable point of contact for business clients on a variety of corporate and transactional matters.
  • Draft and initial review of foundational agreements related to business formation, governance, and day-to-day operations.
  • Assist in the execution of mergers and acquisitions, corporate restructurings, and other strategic transactions.
  • Draft and review corporate documents including operating agreements, shareholder agreements, buy-sell agreements, and partnership agreements.
  • Conduct detailed legal research on corporate compliance, risk management, and governance to support the delivery of high-quality legal counsel.
  • Collaborate effectively with partners and senior attorneys to provide seamless support on complex transactions and client-facing projects.
  • Foster positive client relationships through responsive communication and consistent delivery of accurate, timely work product.

Benefits

  • Salary Range: $139,000 - $144,000 (commensurate with experience).
  • Quarterly Bonus Potential - from 3% to 16% of total realized revenue with no billable hour requirements. Bonuses are tied to clear objective metrics, offering substantial earning potential for high performers.
