About The Position

Kimley-Horn, one of Fortune Magazine’s “100 Best Companies to Work For,” is looking for an in-house counsel to support our mergers and acquisitions (M&A) team in Denver, Colorado (CO). This is a great opportunity, whether you are currently working as in-house counsel or interested in making a shift from private practice. This position will focus on supporting M&A transactions, but will include responsibilities in contracting, compliance, legal and risk matters in a time-sensitive environment. Requirements

Juris Doctor degree from an accredited law school
Licensed to practice law in Colorado
3+ years of relevant legal experience in M&A transactions
Strong interpersonal skills, including verbal communication, presentation, and relationship building
Exceptionally organized in thought and with documentation.
Ability to maintain confidentiality and provide excellent internal and external client service
Excellent follow-through skills as well as the ability to multi-task in a fast-paced environment
Ability and desire to partner with diverse and dynamic leadership and teams
Proficient in Word, Excel, PowerPoint and Outlook

Responsibilities

Support all aspects of M&A transactions, including due diligence, negotiation, documentation, and closing
Provide practical, cultural-minded legal guidance in support of business objectives
Draft, review, and negotiate transaction agreements and related documentation such as Stock Purchase Agreements, Asset Purchase Agreements, and Non-Disclosure Agreements
Serve as primary liaison between in-house M&A team and outside counsel
Advise leadership on corporate laws, regulations, and governance related to M&A activities
Identify and resolve potential legal risks and issues
Stay abreast of industry trends and legal developments related to M&A
Support legal integration of acquired entities
Collaborate with and facilitate cross-team decision-making amongst various internal stakeholders, including legal, finance, senior management, and other internal teams
Perform other duties in support of the legal team, including review of professional services contracts and overall risk management.
Some travel required (approx. 10%)
