About The Position

You will be the architect of legal efficiency, translating complex legal concepts into practical solutions that protect our business while empowering our people to move forward with momentum. This role is perfect for an attorney who is equal parts hands-on drafter, pragmatic problem solver, and organizational master. You will take ownership of the entire legal workflow, from drafting contracts and forming entities to managing outside counsel relationships and tracking compliance deadlines. You will serve as the single point of accountability for legal matters across real estate development, timeshare operations, hospitality, and corporate initiatives, always acting with discretion to protect privilege and confidentiality. Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in the State of Colorado, or ability to obtain admission within six months of hire.
  • Minimum 5 years of legal experience, with at least 3 years in real estate transactional work, in-house counsel, or relevant general practice.
  • Working knowledge of HOA law, including CCIOA (Colorado Common Interest Ownership Act), HOA governance structures, entity formation, and corporate governance.
  • Proven experience drafting and negotiating complex commercial agreements, contracts, and transactional documents.
  • Ability to work in-office in Breckenridge, CO the majority of the time, collaborating closely with executive leadership and department leads.
  • Exceptional organizational skills with the ability to manage multiple priorities, track deadlines, and coordinate legal workflow across several outside firms.
  • Strong written and verbal communication skills, with the ability to explain complex legal concepts to non-legal stakeholders clearly and concisely.
  • Sound legal and business judgment, knowing when to handle matters internally versus escalating to outside counsel.

Nice To Haves

  • Experience with timeshare or vacation ownership regulatory compliance, including CREC (Colorado Real Estate Commission) filings and correct tracker management.
  • Familiarity with Colorado real estate development projects, including loan documentation and bulk purchase agreements.
  • Experience coordinating and managing multiple outside counsel relationships, including scoping engagements and managing budgets to prevent scope creep.
  • Background in hospitality operations, including property management agreements, hotel management agreements, or rental management programs.
  • Knowledge of tax law as it relates to entity formation and business transactions.
  • Experience with insurance claims coordination and coverage questions.
  • Proficiency with legal research tools and document management systems.

Responsibilities

  • Serve as the internal quarterback for all outside legal firms, organizing priorities and tracking deadlines.
  • Scope and budget engagements to prevent scope creep and ensure cost efficiency.
  • Present organized legal priorities and status updates to executive leadership, taking ownership of the legal agenda.
  • Draft, review, and negotiate contracts, NDAs, MOUs, loan closing documents, bulk purchase agreements, and governing documents.
  • Establish new homeowners’ associations, form business entities, and draft operational policies (e.g., owner referral programs, rental management agreements).
  • Monitor CCIOA legislative changes and maintain HOA governing documents.
  • Support CREC (Colorado Real Estate Commission) compliance filings for timeshare properties.
  • Conduct annual compliance assessments and identify risk mitigation strategies.
  • Act as the go-to resource for executives and department leads, offering practical legal advice on routine matters.
  • Evaluate legal risks and provide actionable business recommendations.
  • Manage litigation strategy in coordination with outside counsel and handle incident responses (e.g., trespass letters, insurance claims).
