This non-exempt employee will assist attorneys in accomplishing clients’ goals by using organizational, analytical and communication skills. Position requires individual with ability to conduct legal research, manage closings and draft documents. Requirements

  • The Paralegal should be familiar with effective administrative processes and possess the ability to manage a multitude of tasks and deals simultaneously.
  • This employee should be able to work independently with minimal supervision.
  • The Paralegal should have administrative experience related to the legal services environment.
  • The Paralegal must possess above-average writing skills and have the ability to conduct legal research and translate difficult concepts into simple terms.
  • This employee should also have great computer skills.
  • Paralegal certification from an ABA approved school or bachelor’s degree in a field related to law, administration, or liberal arts required.

Responsibilities

  • Interact with finance teams and clients to facilitate all aspects of credit facility closings, including preparation of closing binders.
  • Draft and review lien filings at state/county levels and review of entity formation and organizational documents (e.g., certificates of incorporation/formation, qualifications, bylaws/initial LP and LLC agreements, organizational consents, and assumed name certificates).
  • Draft transactional board consents and officer certificates.
  • Conduct due diligence.
  • Prepare Schedules to Credit Agreements, Security Agreements and Information Certificates.
  • Manage closings deliveries.
  • Prepare and update closing agendas.
  • Conduct UCC and intellectual property lien searches and prepare summary findings.
  • Prepare closing binders and collect signature pages, when necessary.
  • Assist attorneys with speeches and articles.
  • Attend CLE and courses so as to expand knowledge of substantive law.
  • Perform other related duties as needed or assigned.
