Primary Responsibilities: As an Associate on the Shareholder Advisory team in Los Angeles, you will assume significant responsibility and work directly with senior bankers and clients on live and preparatory mandates. Responsibilities include: Vulnerability & Defense Analysis: Conduct detailed assessments of clients’ financial and strategic vulnerabilities, shareholder bases, and corporate governance profiles to identify potential activist risks. Board-Level Materials: Develop polished, executive-level materials analyzing activist demands, proxy contest scenarios, settlements, and strategic alternatives. Live Situation Execution: Provide real-time advice during shareholder activism and hostile M&A mandates, including tactic monitoring and preparation of key response documents. Shareholder & Market Intelligence: Track and analyze institutional ownership, regulatory filings, and trading activity to identify potential activist threats and broader market trends. Strategic Advisory Integration: Collaborate with M&A, restructuring, and industry teams to provide integrated, strategic advice. Qualifications: We seek to hire individuals who are highly motivated, intellectually curious, and have a demonstrated track record of excellence. MBA from a top-tier business school or 1-3+ years of relevant experience in investment banking, buy-side/sell-side research, M&A law, or corporate strategy. Demonstrable interest in M&A, corporate strategy, and a long-term commitment to a career in investment banking. Exceptional analytical, quantitative, and communication (both written and verbal) skills. High proficiency with Excel, PowerPoint, Bloomberg, and FactSet (or similar data providers).
