About The Position

The Director of Contracts and Compliance is responsible for the overall administration, coordination and evaluation of the organization’s contracts, purchasing, and subcontracting functions. This position will ensure compliance related to Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations (DFAR), Small Business Administration (SBA) regulations/policies, and International Traffic in Arms Regulations (ITAR). The role also serves as a senior adviser to executive leadership on contractual, regulatory, and small business compliance matters across the enterprise.

Requirements

  • Advanced computer skills specifically using Microsoft Office Suite; ability to learn additional computer skills or software programs.
  • Proficiency with Deltek Costpoint and Deltek Purchasing Module
  • Proficiency with SharePoint
  • Ability to Lead efforts related to negotiating Teaming Agreements and Non-Disclosure Agreements
  • Experience with ITAR regulations and obtaining export licenses
  • Experience reviewing Requests for Proposals (RFPs) and responding with compliant Contracts and or Cost Volume proposals
  • Experience with SAM, Seaport E, Fed Biz Ops, and other Government systems
  • Ability to read and interpret documents such as safety rules, operating and maintenance instructions, regulatory requirements, and procedure manuals.
  • Ability to write complex reports and correspondence
  • Excellent interpersonal skills to work effectively and cooperatively with all levels of management and staff. Will also routinely interact with external contacts such as customers, vendors, suppliers, legal counsel, regulatory agency officials, etc.
  • Must be trustworthy – will handle confidential information routinely

  • Ability to perform basic mathematical computations, detect unobvious facts and issues, and exercise resourcefulness in resolving problems.
  • Must be able to work independently and stay on task with minimal to no supervision.
  • Bachelor’s Degree in Business or other related field
  • 5-10 years experience in contracts management and government contracting.
  • In depth knowledge of FAR and ITAR requirements.
  • Understanding of the Small Business Administration 8(a) regulations and reporting requirements
  • Previous experience with Service Contract Act requirements and Collective Bargaining Agreements negotiation/administration.
  • Ability to pass a drug and background screening
  • Must be able to obtain a government security clearance
  • Some level of experience with performing business internationally

Responsibilities

  • Plan, develop, implement, and evaluate strategies for contract administration, including management of complex prime, subcontract, intercompany, and strategic contractual relationships.
  • Serve as senior adviser to executive management, operations, and program staff on all contractual matters, including interpretation and application of government requirements and regulatory guidance.
  • Responsible for managing, supervising, mentoring, and developing the contracts team; evaluate staffing needs and recommend organizational changes based on workload and business requirements.
  • Monitor contract compliance across the contract lifecycle, including proposal efforts, awards, modifications, and active contract performance.
  • Read, review, interpret, and clearly communicate contractual requirements, clauses, RFQ/RFP provisions, and regulatory guidance to Program Managers both orally and in writing.
  • Negotiate contract terms and provisions with customers, primes, subcontractors, suppliers, and teaming partners.
  • Assist Program Managers and internal stakeholders in identifying, developing, and proposing contract modifications and changes.
  • Develop, implement, and deliver training programs, policies, and procedures supporting compliance with federal regulations and company requirements.
  • Administer Cost Plus Fixed Fee, Firm Fixed Price, Cost Reimbursable, and Time and Material contracts.
  • Execute large, complex, and high-visibility contracts on behalf of the organization using defined processes and procedures.
  • Assist with the negotiation, drafting, execution, and administration of Non-Disclosure Agreements (NDAs), Teaming Agreements (TAs), Consulting Agreements, Master Services Agreements, and other commercial and government agreements.
  • Serve as contract administrator for subsidiary execution and represent the organization in large, complex, and critical business relationships.
  • Enter Purchase Orders for services and consumables supporting direct and indirect departments.
  • Lead and evaluate methodologies for managing exports and draft export licenses in accordance with ITAR and/or EAR.
  • Serves as Empowered Official for ITAR and export compliance.
  • Partner with executive management on strategic planning related to contracts, compliance, NAICS strategy, and business growth.
  • Direct and develop policies and procedures governing contract administration and provide guidance on proposal assessments and contract terms.
  • Responsible for input, oversight, and management of the Contracts and Compliance departmental budget.
  • Issue subcontracts and supplier agreements in accordance with FAR, DFARS, and TINA requirements.
  • Conduct internal audits to ensure compliance with government regulations and internal policies and procedures; oversee mitigation of risks such as conflicts of interest or ethics violations.
  • Work with DCAA, DCMA, SBA, and other regulatory agencies in support of audits, reviews, and data calls.
  • Serve as senior adviser on SBA 8(a) and small business compliance matters, ensuring adherence to applicable laws and regulations.
  • Serve as administrator within SBA certification platforms; complete all 8(a) annual reviews for applicable subsidiaries and all Mentor-Protégé annual reviews for joint ventures.
  • Monitor and track Business Activity Targets (BATs) and advise executive leadership on compliance posture and strategy.
  • Monitor and manage assignment of NAICS codes across the organization and advise leadership on NAICS strategy.
  • Oversee SAM and PIEE registrations and company profiles for applicable subsidiaries.
  • Support pre- and post-merger and acquisition activities, including contract novation, compliance assessments, and integration.
  • Complete and file annual business license renewals and state registrations for all subsidiaries.
  • Complete annual DDTC registrations and renewals with external consultants as required.
  • Optimize the delivery of responsive, customer-focused contracts and compliance services.
  • Attend Executive Management, Contracts, and cross-functional meetings as required.
  • Develop workforce and succession planning strategies to ensure continuity and fiscal responsibility.
  • Foster a productive, collaborative, and inclusive work environment.
  • Continuously enhance professional knowledge through conferences, training, and industry engagement.
  • Provide contractual advice, counsel, and decision-making support to management and program leadership.
  • Ensure compliance with federal, state, and local legal requirements and advise management on required actions.
  • Perform other related duties as required to meet organizational needs.
