About The Position

Solid Power is seeking a Director, Corporate Counsel to join our talented team to revolutionize the battery industry through the development of next generation, all solid-state batteries. Solid Power is a dynamic, fast-paced, collaborative team environment. As a key member of the legal team, this position will report to our head of legal and provide advice and leadership on a wide range of legal issues to support our business and long-term growth strategy. This is not a remote position.

Requirements

  • A juris doctor degree from a national law school, excellent academic credentials, and admission (or eligibility) to the Colorado bar.
  • 4+ years of corporate and governance experience required. Exposure to securities laws, public company matters, and M&A preferred.
  • Hard-working, proactive self-starter who thrives in a fast-paced and complex professional environment.
  • Intellectually curious, exceptionally organized, highly analytical, and attentive to detail.
  • Strong problem-solving and critical thinking skills.
  • Outstanding verbal and written communication skills, including the ability to write and present in a manner appropriate for executive- and director-level communications.
  • Sound judgment and always acts with the highest ethical standards, respect for confidentiality, and a high degree of professionalism and discretion.
  • Proven ability to work effectively under pressure and with limited supervision and to manage, prioritize, and successfully complete multiple, time-sensitive projects.
  • Fluent with software and technology and strong working experience with MS Office applications (i.e., Teams, Excel, Word, PowerPoint, Outlook).

Responsibilities

  • Provide day-to-day counsel and advice regarding various and broad-ranging legal matters.
  • Advise on public company and corporate securities law matters and related compliance, including SEC reporting, Nasdaq compliance, and public disclosures.
  • Draft and review transactional documents, including non-disclosure agreements, material transfer agreements, and other commercial contracts.
  • Assist in the preparation for board, committee, and stockholder meetings.
  • Work closely with our Vice President, Legal and other members of the executive team on significant transactions.
  • Facilitate cross-functional relationships and decision making among teams, including finance, accounting, human resources, information technology, and marketing.
  • Monitor and advise on the potential impact of new and proposed securities laws and regulations, Nasdaq rule changes, proxy advisor guidance, and developments and trends in corporate governance.
  • Work with and supervise outside counsel on various legal matters as appropriate.
