Our AmLaw 100 client is hiring a corporate transactions counsel in its New York office to sit within a Chambers -recognized tax platform that regularly partners with elite private equity sponsors, investment funds and major corporates on complex deals. You will be one of the go -to lawyers for fund -driven M&A, joint ventures and strategic transactions that are central to the firm’s private capital and funds practices. In this role, you will: Handle a mix of corporate transactional matters tied to private equity and funds work, including M&A, minority and control investments, and portfolio company transactions. Structure and negotiate joint ventures, strategic alliance arrangements and co -investment deals for leading sponsors and institutional investors. Work closely with tax, funds and finance partners on restructurings and other transactions for investment funds and their portfolio companies. Coordinate with colleagues across offices on cross -border and multi -jurisdictional matters, benefiting from a platform that is consistently ranked among the top corporate and private equity practices in New York. Take on a visible counsel -level role with direct client contact and responsibility for drafting, negotiation and deal execution. The right attorney will bring: Approximately 7 to 9 years of experience in broad -based corporate transactional work at a leading law firm, ideally including private equity M&A, minority investments, and related financings. Comfort running significant workstreams on complex deals and coordinating across practice groups. Experience with joint ventures or strategic alliances, or a genuine interest in developing depth in those structures. Strong academic credentials from a top US or Canadian law school and a steady record at a reputable firm. Admission to the New York Bar (or ability to waive in). Deal flow that tracks the market, not just the cycle.
