This Counsel position will support complex commercial and technology transactions within the Innovation, Contract Services, Marketing & Intellectual Property legal team. Additional core functions include: Drafting and negotiating a wide range of commercial contracts, with emphasis on procurement of technology (cloud, APIs, and AI) and other products and services contracts, including externally-hosted software as a service (SaaS) agreements , on-prem software license agreements, professional services agreements, evaluation/pilot agreements, orders, and statements of work. Providing day-to-day practical, actionable guidance to, and collaborating with, business partners across the enterprise to mitigate legal risk. Drafting and maintenance of contract templates, alternative clauses, playbooks, other job aids, and policies in collaboration with legal and business partners. Providing legal support for contract disputes and software compliance audits, including legal analysis, negotiation, and drafting of settlement terms. Developing and delivering training to legal and business partners. Experience with AI, data protection , and privacy laws a plus.
