Job Overview: We are seeking an attorney with experience in private fund formation, including subscription and committed facilities, in the real estate and private credit space. Ideally the candidate would have experience providing advice on structuring and execution of fund vehicles, negotiating advisory agreements, and third-party private fund arrangements. The ideal candidate will have some exposure to BDCs and real estate funds. You will be joining a team that supports board governance, regulatory filings, and other associated tasks with the real estate and private credit platform. You will collaborate cross-functionally to grow and diversify our business, mitigate legal and regulatory risk, and serve our global client base. Requirements

Juris Doctor (J.D.) degree required.
5-8 years of relevant experience as an attorney while working at a leading law firm, in-house, or both (some law firm experience is required), with exposure to private fund formation in real estate and private credit.
Strong knowledge of alternative investment strategies, including private funds, real estate, private credit/, BDCs, and related legal frameworks.
Ability to think strategically and critically to solve challenges with innovative solutions, with the focus and agility to drive execution on key priorities.
A proactive, energetic, and pragmatic approach to legal and business issues.
Superior interpersonal and communication skills, including the ability to distill and explain technical and/or complex matters to non-lawyers.
A prolific, entrepreneurial, resilient work ethic, including the ability to manage multiple responsibilities simultaneously, meet deadlines in a fast-paced environment, and remain nimble when priorities change.
Intellectual curiosity and a willingness to learn new legal and business concepts.

Responsibilities

Manage day-to-day legal aspects of our asset management business, with a particular focus on private funds related to real estate and private credit investments.
Provide legal advice concerning the formation of and capital deployment by private funds (including real estate funds), and other private credit-related products, including drafting offering documents, negotiating with service providers, and ensuring compliance with relevant laws, regulations, and industry standards.
Draft, review, and/or negotiate organizational documents, investment management agreements, marketing materials, subscription agreements, limited partnership agreements, side letters , confidentiality agreements, and policies and procedures.
Assist with legal aspects of investor relations, including responding to investor inquiries and due diligence questionnaires, and coordinating investor reporting requirements.
Collaborate with internal stakeholders, including product, distribution, investment, risk, and compliance professionals, on formation and day-to-day affairs our investment funds.
Identify legal risks and provide recommendations to mitigate those risks.
Interpret, analyze, and provide guidance on major applicable regulatory reforms.
Actively participate in industry forums and manage relationships with external legal counsel, service providers, and regulatory authorities to sustain an awareness of existing and proposed regulatory initiatives, industry trends, emerging risks and opportunities, and best practices.
