About The Position

FBT Gibbons is currently searching for a full-time Corporate Paralegal to join our team. This position will assist attorneys in all stages of corporate transactions and in the preparation of documents necessary to comply with federal, state and local regulations governing business activities. This position can be based in Cincinnati, OH; Dallas, TX; Louisville, KY; or Nashville, TN.

Requirements

  • Associates degree or Bachelor’s degree with a major in paralegal studies, or A Bachelor’s degree with an unrelated major, and have: A certificate from an ABA approved paralegal training program specializing in the area for which the candidate is being considered; or Two years’ experience in the area of specialization for which the candidate is being considered or other comparable experience; or Unique qualifications, experience, or training which fill a specific need within Frost Brown Todd LLP.
  • Minimum of three years of corporate paralegal experience required.
  • Demonstrated experience preparing and handling a range of corporate documents.
  • Strong research skills.
  • Extremely accurate and detailed in their paperwork
  • Strong verbal and written communication skills.
  • Ability to work toward established goals and consistently meet deadlines.
  • Demonstrated critical thinking and sound judgment skills.
  • Ability to work effectively under pressure and within time constraints.
  • Ability to work independently as well as collaboratively in a team environment.
  • Strong organizational and attention to detail skills.
  • Proficient computer skills using MS Office applications.
  • Flexibility to work overtime as needed.

Responsibilities

  • Work with attorneys to prepare and file all documents required to form corporations, partnerships and limited liability companies.
  • Assist attorneys in the preparation of documentation related to amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.
  • Assist with the preparation and issuance of stock certificates.
  • Complete franchise tax forms for attorney review.
  • Create, organize and maintain corporate minute books and entity records.
  • Support attorneys in the preparation for and closing of corporate transactions, including mergers and acquisitions and initial public offerings.
  • Work directly with attorneys to prepare Securities and Exchange Commission (SEC) filings related to securities offerings and respond to the requirements of the Securities Act of 1933 and 1934 filings.
  • Assist with the preparation, filing and retrieval of UCC filings and conduct UCC filing searches in applicable jurisdictions.
  • Assist with the completion and filing of SS-4 Forms with the IRS to obtain Employer Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies.
  • Assist attorneys in preparing for hearings or trials.
  • Draft and proofread legal documents prepared by attorneys.
  • Research and confirm name availability in relevant jurisdictions.
  • Assist attorneys with the preparation of board meetings and committee meetings
  • Act as witness or notary in the execution of contracts or other agreements.
  • Accurately record time worked and enter time and description into time and billing system.
