We are seeking an outstanding corporate paralegal with 5+ years of experience to join our dynamic Legal team. This role will report to the Associate General Counsel, Corporate and will work proactively with cross-functional partners across the organization, including legal, finance, and the executive teams. The candidate would be located near our Menlo Park, California office and would be expected to be in the office as needed.

Requirements

  • Paralegal certificate and/or Bachelor’s degree from an accredited college or university
  • 5+ years of legal experience in the paralegal or related field
  • Corporate experience with public companies, including SEC compliance and corporate governance
  • Comfortable with ambiguity and fast-paced environments
  • Strategic problem-solver
  • Proactive self-starter with outstanding project management abilities
  • Very well organized, detail-oriented, reliable, and able to manage multiple projects concurrently
  • Excellent interpersonal skills and professional judgment

Nice To Haves

  • In-house experience and prior AmLaw 100 law firm experience
  • Experience with equity compensation and executive compensation matters

Responsibilities

  • Support corporate governance processes, including preparation for board of directors and committee meetings and organizing and maintaining all corporate records
  • Assist with the general compliance for our international subsidiaries, including entity formation and management
  • Work on other corporate and securities projects, including public company readiness workstreams
  • Assist with preparation of future SEC and other corporate regulatory filings, including reports on Forms 10-K/Q, proxy statements, annual meeting materials
  • Assist with preparation of directors and officers questionnaires and related party questionnaires
  • Coordinate Section 16 filings and assist with stock ownership and issuance matters, including 10b5-1 trading plans, legal opinions, communication with transfer agents
  • Assist with internal policy compliance processes
  • Work with cross-functional teams, including investor relations, internal communications, and equity management, to build and enhance internal processes
  • Provide project management and cross-functional coordination for special projects, including tracking important deadlines and tasks
