About The Position

McCormack Baron Companies (MBC) is working to find a talented paralegal for its in-house legal department. The ideal candidate for this position is a seasoned paralegal who has experience in both corporate and litigation matters. The paralegal will be working closely with and reporting to the General Counsel to perform a variety of corporate and litigation legal work. MBC aims to have a collaborative legal team that works seamlessly to advance the interests of the company. In this role, the paralegal will provide broad-based support in the advancement of the company's legal affairs, all in a manner that displays excellent organizational skills and attention to detail. MBC is looking for a candidate who is proactive, has sound judgment and enjoys working in a collaborative, team-based environment.

Requirements

  • Bachelor's or Associates’ Degree required (or Paralegal Degree or Certification and equivalent experience).
  • Minimum of 10 years of relevant paralegal experience with a law firm, in-house or at a public company.
  • Proficiency and high aptitude with Microsoft programs and applications (Outlook, Microsoft Office Suite, Word, Excel, PowerPoint, SharePoint, Teams), Adobe Acrobat and PDF creation tool(s), contract management systems, document management software, and Intapp or other timekeeping software.
  • Strong desire to work in a collaborative legal environment and agility to use new software and systems as needed.
  • Must be a proactive problem solver and demonstrate exceptional organizational and planning skills.
  • Excellent written and oral communication skills. Must also be a good listener.
  • Effective at time management and meeting deadlines, process focused and works well under pressure.
  • Must have strong interpersonal skills and the ability to interact and work productively with all levels of MBC colleagues.
  • Must interact confidently and diplomatically and be able to work in a team environment.

Nice To Haves

  • At least two years of litigation experience is preferred.
  • Familiarity with legal databases HCue and LawVu is preferred.

Responsibilities

  • Entity Management: Form and dissolve corporations, limited partnerships, and limited liability companies; Review annual registered agent invoices to ensure the correct rate is charged and dissolved/transferred entities are removed from account Complete organizational documents – bylaws, organizational minutes, stock issue and stock ledger; operating agreement and membership certificate and ledger; initial partnership agreements Obtain federal employer identification numbers and file SS-4’s with entity record book/file Set up electronic “minute books” for corporations/partnership/limited liability companies Maintain active status of 700+ corporations, limited partnerships, and limited liability companies by filing annual reports; Assist MBM with documentation needed to obtain real estate licenses in various states Provide information to corporate accounting department on entities formed/dissolved in the calendar year for tax reporting purpose. Prepare W-9s for newly formed entities. Maintain Entity Database (“HCue”) info with specific entity data for all 700+ McCormack Baron entities including legal name, states of organization/qualification, FEIN number, officers and directors of corporations, members or partners of limited liability companies and partnerships, ownership shares or interests, related project, etc. Set up new users in Entity Database and provide training Act as legal custodian of corporate records and contracts
  • Legal and Quasi-Legal Matters (Housing Complaints/General Liability/Code Violations/Collections/Liens/Statutory Notices): Review nature of legal or quasi-legal matter, assigned jurisdiction and response date(s). Prepare transmittal email/memo summarizing complaint, noting required response timeline and then distribution to appropriate departments and third parties; calendar important deadlines and follow-up with legal-hold notices, if appropriate. Create an appropriate matter in online legal tracking database (“LawVu”) Maintain a list of litigation and threatened litigation and other legal adjacent matters (e.g. foreclosures/forbearances) for periodic disclosure to investors and lenders.
  • Internal Legal: Managing the legal department's document repositories, contract management system, and other information repositories to promote efficiency; Providing support for strategic transactions as needed, including due diligence support, document organization, closing checklists and coordinating collection of signatures for legal documents, contracts and agreements to support corporate transactions and development activities;
