About The Position

Scale LLP is seeking an experienced Paralegal with 3+ years of experience to support our growing, national corporate practice and network. This person will bring a process driven approach to servicing Scale’s corporate clients maintaining and organizing company records, and will work with Scale's attorneys to deliver support multiple companies across all aspects of their corporate legal work, including entity initial company formation, corporate governance, debt and equity financing transactions, mergers and acquisitions, equity administration, public company reporting and more and corporate governance and compliance issues. A bachelor’s or associate’s degree, or completion of a paralegal program of study is required. A paralegal certificate is required for candidates residing in states providing such certification, otherwise commensurate experience will be sufficient. Requirements

  • Minimum 3 years paralegal experience in a corporate law setting at a law firm
  • Paralegal certificate or actively pursuing certification
  • Proven track record of taking initiative to identify and solve problems, manage projects, make continuous process improvements and work both independently and as a member of a team
  • Excellent analytical skills with strong attention to detail, demonstrated ability to analyze legal advice and then apply it to business needs
  • Exceptional interpersonal and communications skills, a commitment to professionalism, integrity and collegiality, and the ability to work on a wide range of legal matters
  • A bachelor’s or associate’s degree, or completion of a paralegal program of study is required.

Responsibilities

  • Manage transaction checklists from LOI through closing.
  • Track deliverables across internal teams, clients, and opposing counsel.
  • Maintain and update signature page trackers.
  • Coordinate collection of signature pages and ensure proper execution formats.
  • Assemble and circulate final execution versions.
  • Prepare and organize closing binders (electronic and/or hard copy).
  • Coordinate closing logistics and document flow.
  • Confirm receipt of all required closing deliverables.
  • Distribute fully executed documents post-closing.
  • Maintain clear version control throughout the deal process.
  • Format, proof, and process transaction documents.
  • Run redlines and manage draft comparisons.
  • Maintain structured electronic file systems for each matter.
  • Ensure final executed documents are properly labeled and archived.
  • Assist with data room organization and document uploads.
  • Reference transaction checklists to proactively flag missing deliverables.
  • Keep attorneys updated on signature status and outstanding items.
  • Track timelines and key milestones.
  • Ensure no closing items fall through the cracks.
  • Track post-closing deliverables and deadlines.
  • Assist with compilation of post-closing sets.
  • Maintain transaction record retention and indexing.
