We’re hiring a Corporate Development Counsel to support our Corporate HQ in Columbia, MO and we’re looking for someone who’s ready to grow with us, bring energy and drive to their work, and help us build the future of construction. You will be responsible for managing the legal aspects of our M&A and strategic investment activities from start to finish—from initial structuring and due diligence to negotiation, closing, and integration. This is a highly visible position that requires close collaboration with senior leadership, business teams, and stakeholders across the company. The ideal candidate is a "deal-person" at heart who balances expert legal advice with a pragmatic, business-oriented mindset.

Requirements

  • Demonstrated ability to understand business objectives and to apply legal principles in a pragmatic, risk-based manner.
  • Expertise in all facets of the M&A lifecycle and a strong understanding of corporate law, contract law, and securities law.
  • The ability to communicate complex legal issues clearly and concisely to non-legal stakeholders, both verbally and in writing.
  • Proven ability to manage multiple complex projects simultaneously, navigating tight deadlines and high-pressure situations with poise and organization.
  • Demonstrated initiative and a proactive, solution-oriented mindset.
  • Excellent verbal and written communication skills, with the ability to explain legal concepts clearly to business stakeholders.
  • Proven sound judgment, commercial awareness, and ability to balance risk with business objectives.
  • Highly organized, detail-oriented, and able to manage multiple priorities with urgency.
  • Adaptable, self-motivated, and comfortable working independently in a fast-paced environment.
  • Juris Doctor (J.D.) from an accredited law school with an active in at least one state bar membership.
  • At least 4 years of relevant legal experience, with a significant focus on M&A. This must include direct, hands-on experience in drafting and negotiating complex transaction agreements.
  • Experience at a law firm in its M&A/Corporate practice is strongly preferred.

Nice To Haves

  • Familiarity with contract lifecycle management tools or legal technology is a plus.
  • In-house experience at a technology or high-growth company is a significant plus.

Responsibilities

  • Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments (e.g., term sheets, LOIs, merger agreements, asset purchase agreements, stock purchase agreements, and investment/shareholder agreements).
  • Lead and manage the end-to-end legal due diligence process. This includes coordinating internal specialists (e.g., IP, privacy, employment, tax), managing virtual data rooms, identifying and quantifying key risks, and summarizing findings for business stakeholders.
  • Serve as the primary legal advisor to the Corporate Development team and other business leaders. Provide strategic and tactical advice on deal structures, risk-shifting, and negotiation strategy.
  • Partner with stakeholders across the organization (Finance, Tax, HR, Operations, and Product) to ensure all functional aspects of a transaction are addressed and that the deal aligns with business objectives.
  • Manage and oversee outside counsel on M&A and investment transactions, ensuring high-quality work, cost-effectiveness, and alignment with our company's goals.
  • Support post-closing integration efforts to ensure a smooth transition and the realization of deal value.
  • Help develop and refine our M&A "playbook," including templates, checklists, and internal processes to drive efficiency and consistency.
