About The Position

Sitemetric seeks a bar-raising Corporate Counsel to lead and support critical legal functions across commercial contracting (both customer and vendor sides), data rights, and corporate governance. This role, reporting to the Chief Legal Officer, combines strategic advisory responsibilities with hands-on execution, ensuring compliance with consistent commercial practices, applicable regulations, and sound corporate governance as the company grows and expands internationally. Requirements

  • J.D. with admission to practice in jurisdiction of residence.
  • 5+ years’ experience in privacy, commercial contracting, and corporate legal work, ideally within a SaaS, HaaS, or technology environment.
  • Deep understanding of CCPA, GDPR, and other data law frameworks.
  • Superior drafting, negotiation, and cross-functional collaboration skills.
  • Experience guiding both strategic legal initiatives and executing day-to-day transactional needs from a practical, collaborative, “how-to” viewpoint.

Responsibilities

  • Collaborate with Executive Leadership to ensure commercial contracting alignment with business goals and growth.
  • Work as valued partner with Operations, Customer Success, and Sales functions, being mindful that time is of the essence.
  • Develop and maintain playbooks for Contracts Managers to ensure consistent and efficient contracting processes. Expertise in contracting for SaaS, physical goods, and on-customer site human-provided services is required.
  • Lead strategy and drafting non-custom terms, insuring alignment with strategic goals.
  • Participate in escalated customer negotiations, particularly around key contractual terms and risk allocation.
  • Collaborate with CCO and CFO teams to ensure commercial terms are accurate, consistent, and aligned with new offerings.
  • Maintain strong alignment and view across contracts portfolio, including consistency with statements of work, insurance provisions, warranties, and related terms.
  • Develop and implement standard vendor contracting terms and playbooks to drive consistency and favorable outcomes.
  • Manage warranty claims and other vendor-related legal issues.
  • Serve as the company’s in-house subject matter expert on data-related laws and regulations, including CCPA, GDPR, and other emerging regulations.
  • Partner with the CTO and technology teams to identify, secure, and optimize data rights as products and technologies evolve.
  • Advise on international data transfer and compliance matters as the company expands globally.
  • Oversee preparation and review of board consents, meeting minutes, and other corporate governance documents.
  • Support maintenance of corporate records and ensure compliance with internal governance standards.
