About The Position

The Corporate Counsel — Technology + Commercial position provides transactional legal support to Barton Malow Holdings Inc. and its affiliates (the “Company”). This role carries a dual focus: serving as the Legal Department’s lead for technology and vendor contracting — including SaaS, AI, and IT/IS agreements — while also partnering with project teams and business stakeholders on the review and negotiation of construction contracts across the project lifecycle. The Corporate Counsel — Technology + Commercial manages the vendor lifecycle from onboarding through renewal or termination, advises internal teams on vendor engagement strategy, and supports cross-functional partners in Marketing and Communications, Real Estate, Human Resources, and Finance on a range of legal and compliance questions. This position also coordinates with outside counsel to monitor and protect the Company’s intellectual property portfolio.

Requirements

  • Juris Doctor from an accredited law school.
  • Licensed and in good standing to practice law in at least one US state.
  • Five to eight years of experience in a law firm or in-house counsel setting.
  • Demonstrated experience reviewing and negotiating technology and SaaS agreements, including MSAs, order forms, subscription agreements, and data privacy and security addenda.
  • Familiarity with AI-related software contracts and the unique legal and risk considerations associated with emerging technology and start-up vendors.
  • Strong project-management skills with the ability to track deadlines, manage multiple vendor relationships simultaneously, and drive processes across cross-functional teams.
  • Excellent communication and interpersonal skills, with the ability to translate legal concepts into practical business guidance for non-legal stakeholders.
  • Demonstrated ability to effectively collaborate with cross-functional teams.
  • Sound judgment, analytical thinking, and problem-solving abilities.

Nice To Haves

  • Construction and real estate law experience preferred.
  • Experience with intellectual property portfolio management, including trademark monitoring, licensing, and coordination with outside IP counsel, is preferred.
  • Experience with contract lifecycle management (CLM) platforms.

Responsibilities

  • Partners with project teams and business stakeholders across phases of the project lifecycle, from pursuit through closeout, providing legal guidance and contract support at each stage.
  • Reviews, drafts, and negotiates construction-related agreements, including prime/owner contracts, subcontractor agreements, professional services agreements, and confidentiality agreements.
  • Reviews, drafts, and negotiates vendor agreements across the Company, including SaaS and technology vendor agreements, master services agreements (MSAs), order forms, subscription agreements, and associated data privacy and security addenda.
  • Provides specialized legal support for AI-related software agreements, IT/IS vendor contracts, and engagements with start-up and emerging technology companies, with attention to unique risk profiles in these areas.
  • Leads ongoing vendor management efforts with a project-management orientation, including tracking contract expiration and renewal dates, coordinating with vendors on renewals and terminations, and guiding internal business teams on vendor engagement throughout the contract lifecycle.
  • Monitors the Company’s intellectual property portfolio, address IP-related questions, and ensure timely filings and renewals.
  • Provides legal support to cross-functional partners, including Real Estate and Facilities, Human Resources, and Finance.
  • Develops and maintains contract playbooks, clause libraries, and standard form agreements for contracting to promote consistency and reduce risk.
  • Utilizes the Company’s contract lifecycle management (CLM) platform to manage contract workflows, approvals, and repository organization.
  • Provides legal advice and consultation to Company leadership on a variety of industry, business, and regulatory matters.
  • Completes any special projects as assigned by members of the Legal and Risk Department.
