Dallas, Texas or San Diego, CA (Hybrid work model) The SEC Corporate Counsel advises AMN leadership and team members on corporate governance and compliance activities. As a key part of our team, you will provide legal counsel in connection with a range of activities, including corporate governance, SEC reporting, compliance with securities laws, regulatory compliance and other strategic transactions.
Requirements
- Bachelor’s Degree
- Juris Doctorate Degree
- Admission to the Texas or California Bar
- At least 3-5 years of experience as an attorney in a well-regarded firm and/or an in-house practice counseling public companies on SEC compliance and transactional matters
Responsibilities
- Prepare and review SEC filings, including 10-Ks, 10-Qs, proxy statements, Section 16 reporting (Forms 3, 4, and 5) and other periodic reports.
- Support the corporate secretarial function, including preparation of materials for Board of Directors and Committee meetings and the Company's annual meeting of shareholders.
- Collaborate with the legal team and cross-functionally to advise on disclosure matters and review of investor relations materials.
- Provide support for transactions, as needed, such as securities offerings, financings, investments, acquisitions, divestitures, and/or other strategic transactions.
- Provide legal support and clear, pragmatic advice to internal team members on a broad range of issues, including compliance with securities laws and NYSE rules.
- Build close cross-functional relationships with team members in supported businesses.
- Comfortable working and communicating with senior leaders and executive management.
