About The Position

Inspire Brands is seeking a Vice President - Securities & Corporate Governance Counsel to lead the company’s legal strategy and execution across securities law and corporate governance, serving as a trusted advisor to the CEO, CFO, executive leadership team, and Board of Directors. The successful candidate will play a critical role in guiding the company through capital markets activity.

Requirements

J.D. from an accredited U.S. law school
Active bar membership in good standing in at least one U.S. state
Minimum 10 years of relevant legal experience, preferably a combination of major law firm and in-house experience
Significant experience advising on securities law, capital markets matters, and corporate governance, ideally in a public or pre-IPO company environment
Demonstrated experience working directly with Boards of Directors and senior executives
Experience supporting complex, multi-entity or multi-brand organizations
Strong understanding of SEC regulations, disclosure law, and governance best practices
Proven leadership experience managing legal teams
Excellent communication skills, and the ability to listen and effectively translate complex legal issues into clear, practical guidance for business leaders
Ability to perform as a strategic, pragmatic legal advisor with sound judgment and executive presence
Collaborative and solutions-oriented approach to legal/business problem-solving
Strong attention to detail with ability to prioritize and multi-task in a fast-paced, high-growth environment
High integrity, with the ability to operate with discretion, and commitment to corporate ethics
This position sits within our Atlanta Support Center with an expectation to be on-site 80%.

Responsibilities

Securities & Capital Markets Draft, and lead all legal aspects of, registration statements, offering materials, disclosure documents, working closely with investor relations, external counsel, investment bankers, and auditors
Advise on public and private financing transactions and other capital market activities
Provide ongoing counsel on the application of US federal and state securities laws and regulations, including SEC reporting, disclosure obligations, and compliance requirements
Oversee preparation and review of periodic and current reports, annual reports, proxy statements, and other investor-facing disclosures
Manage and maintain capitalization table, including responsibility for management of outstanding securities
Corporate Governance & Board Advisory Day-to-day leadership of Corporate Secretary function
Support of Board of Directors and Board Committees, including serving as Committee liaison, drafting agendas, meeting materials, resolutions, minutes, charters and policies
Serve as primary legal advisor on corporate governance matters, fiduciary duties and evolving regulatory and investor expectations
Partner with senior leadership to design and implement governance structures appropriate for a multi-brand organization
Executive & Enterprise Advisory Act as a trusted counselor to the C-suite and senior leaders on a broad range of corporate, securities, compensation and transactional issues
Provide practical, business-oriented legal advice that balances risk, growth, and operational complexity across multiple brands
Monitor and advise on emerging legal, regulatory, and governance trends
Manage and oversee outside counsel efficiently and strategically
Team & Function Leadership Build, lead, and develop internal capabilities related to securities, corporate governance and executive compensation
Establish scalable processes, policies, and controls
Promote a culture of integrity, accountability, and collaboration across the legal and broader organization
