In this role, you’ll work closely with our leadership to ensure our commercial contracts align with company goals, policies, and procedures—while also managing risk and protecting the business. We’re looking for someone skilled in spotting contract issues, refining language, analyzing complex terms, and efficiently handling documents. You’ll also provide strategic recommendations and timely solutions. This position reports to ProMach’s Senior Managing Contracts Attorney.

Requirements

  • Juris Doctor (JD) degree, active law license, and 3+ years of experience in corporate or commercial contract law
  • Expertise in contract drafting, negotiation, issue-spotting, and risk management
  • Strong understanding of contract law, regulatory compliance, and legal risk assessment
  • Experience with contract management systems and version control
  • Ability to summarize risk areas, provide practical legal advice, and offer strategic solutions
  • Excellent communication, stakeholder management, and problem-solving skills
  • Comfortable working independently and collaboratively across teams

Responsibilities

  • Review, issue-spot, and mark-up commercial agreements (e.g., equipment sales agreements, PO terms and conditions, non-disclosure agreements, vendor/supplier agreements, etc.)
  • Follow contract playbook and company policy to assure good legal risk management
  • Assist sales and engineering groups to accurately detail business needs and conditions in agreements
  • Engage in contract strategy meetings with business staff to ensure needs are known and met and timelines established
  • Summarize risk areas for management review and input
  • Provide alternative solutions and support negotiation
  • Inform and seek input, supervision, and advice from in-house attorneys in corporate legal department
  • Maintain up-to-date knowledge of trends and law / regulation changes in the commercial contract area
  • Maintain contract management system for easy retrieval, version control, and contract maintenance
