We are seeking a skilled and motivated Contracts Manager to join our Corporate Legal team. The ideal candidate will have strong experience drafting, reviewing, and negotiating a wide range of commercial agreements, advising internal clients on business and legal risks, and supporting corporate initiatives. This position will report directly to the General Counsel and Corporate Secretary. The Contracts Manager will support ISCO’s in-house legal function across contracts, compliance, and general corporate matters. The role drafts, reviews, and negotiates commercial agreements, provides practical legal guidance to internal teams, and assists with contract templates, playbooks, and process improvements. Working under the general direction of ISCO’s General Counsel and Senior Counsel, this role serves as a primary point of contact for day-to-day contracting issues and escalates higher risk matters as needed.

Requirements

  • At least 3 to 5 years’ experience working at a company, law firm and/or in-house in the areas of commercial transactional work is required.
  • Experience drafting and negotiating a variety of commercial agreements
  • Must have highly polished and effective negotiation, communication and drafting skills, including those suitable for interaction with senior managers and executives.
  • Must have the ability to handle significant matters with limited supervision or direction.
  • The successful candidate will have proven experience working in a collaborative environment, providing a professional, practical and business-oriented approach, and successfully managing a diverse project load, resulting in a high level of client service and satisfaction.

Nice To Haves

  • Paralegal Certificate or Bachelor’s degree in Business, Law, Construction Management or related field.
  • 3 plus years’ experience in contract administration or legal operations, with strong focus on commercial transaction
  • 3 plus years’ experience with Microsoft Office Suite, Adobe or similar PDF program
  • 3 plus years’ experience with a Contracts Lifecycle Management or similar software
  • Experience in the construction industry

Responsibilities

  • Review, draft, negotiate, finalize and manage a variety of commercial agreements for the Company’s business units, such as vendor, supplier, customer, distribution, Master Service and Supply, subcontract agreements, non-disclosure and confidentiality agreements, and related documents.
  • Analyze and negotiate key provisions (e.g., warranty, indemnity, limitations of liability, IP rights, confidentiality, insurance, and compliance obligations) to align with company risk tolerances and business objectives.
  • Ensure all contractual agreements comply with internal policies and legal requirements
  • Identify potential risks and implement mitigation strategies in the contract process
  • Support contract operations improvement initiative to streamline commercial processes and reduce negotiation cycles.
  • Develops and maintains library of standardized contract templates, negotiation playbooks and fallback clauses that align with ISCO's business objectives, in order to streamline commercial processes, reduce negotiation cycles, and ensure consistency in contract drafting and negotiation.
  • Provide clear, practical legal guidance to internal stakeholders on contract terms, risk allocation, and related legal issues, under the supervision of senior counsel as appropriate.
  • Identify and explain legal risks and options, propose solutions, and assist business teams in evaluating tradeoffs.
  • Apply established playbooks and policies to new fact patterns and help refine those playbooks based on emerging issues.
  • Working knowledge of contract cycle management and contract language, such as limitation of liability, indemnification and warranty.
  • Working knowledge of commercial construction insurance
  • Working knowledge of construction industry and general practices
  • Coordinating contractual reviews with internal and external counsel as needed
  • Collaborate with leadership team to focus on continuous improvement and support all business goals
  • Lead a contracts team focusing on process improvement
  • Assist with other contractual or other legal matters as they arise
