This position sits within the Law Department’s Transactional Law Group which is responsible for the majority of the transactional, technology, intellectual property and AI matters of the Company. This Group works in close partnership with others in the Law Department, the Compliance Department and the Procurement teams to support the needs and goals of the Transamerica Companies.

Requirements

  • JD degree from an ABA accredited law school required.
  • Licensed or eligible to practice in the applicable state.
  • Minimum of 2 years of relevant experience for the responsibilities above.
  • Knowledge and prior experience with procurement agreements, software license agreements, Cloud agreements (IaaS, PaaS, SaaS), outsourcing arrangements, and technology matters.
  • Must be able to prioritize to meet deadlines.
  • Must possess excellent organizational skills.
  • Ability to effectively communicate, both written and oral, with the intended audience.
  • Ability to exercise sound judgment in a fast-paced environment.
  • Ability to exercise agility and adaptability in providing legal advice.
  • Comfortable in a rapidly changing corporate environment.

Nice To Haves

  • 5 years of relevant experience.
  • Software/SaaS agreement experience.
  • AI knowledge.

Responsibilities

  • Provide timely, business-oriented, legal advice and recommended solutions.
  • Draft, review and negotiate various procurement contracts such as: software/technology licenses, professional/consulting services, outsourcing, statements of work, service agreements, etc.
  • Collaborate with and facilitate cross-functional team decision making as it relates to supported projects and agreements.
  • Review and draft documents and templates.
  • Handle special projects as assigned.
