Paradigm is seeking a dynamic Commercial Counsel to join its small, but mighty legal and compliance team. As the fifth attorney on the team, you will be our lead commercial contracting attorney engaged in the development, drafting and negotiation of complex agreements that support our business goals. You will partner closely with internal stakeholders, provide practical legal guidance, monitor legal developments impacting our contracting activities, and ensure decision‑makers have the information they need to move the business forward. This is a remote role

Requirements

  • JD from an accredited law school and active bar membership in good standing.
  • Minimum of four to five years of legal experience with a strong emphasis on commercial contracting, deal support, and negotiating complex agreements.
  • Strong drafting, analytical, and issue‑spotting skills, with exceptional attention to detail and an ability to independently redline complex agreements.
  • Experience with and interest in improving templates or deal processes.
  • Proven ability to partner with business teams, provide practical and actionable guidance, and communicate legal concepts clearly.
  • Highly organized, able to prioritize competing demands, and comfortable working in a fast‑paced, deadline‑driven environment.
  • Strong interpersonal skills and the ability to collaborate effectively with a range of internal stakeholders, including senior leadership.
  • Independent, proactive, and capable of managing matters from start to finish with limited supervision.
  • High ethical standards and sound judgment.
  • Comfort operating in a small legal team.

Nice To Haves

  • Experience advising on commercial transactions in the healthcare industry preferred.
  • Familiarity with privacy, data security, and regulatory issues as they relate to contract terms and commercial negotiations is highly valued.

Responsibilities

  • Stay current on legal developments in commercial health, workers’ compensation, and auto liability insurance, and assess how these developments impact Paradigm’s commercial relationships.
  • Evaluate regulatory considerations relevant to entering new markets and incorporate those insights into contract strategy and templates.
  • Review and enhance internal operational policies and business practices to support strong, efficient, and compliant contracting processes.
  • Develop and deliver training to internal teams on contracting best practices, legal risk awareness, and key contractual obligations.
  • Recommend policies and strategies that enable the business while appropriately managing contractual risk.
  • Lead the drafting, negotiation, and execution of commercial contracts, ensuring alignment with business objectives and risk tolerance.
  • Represent the company when administrative or legal inquiries arise related to contractual or business practices.
  • Develop procedures and maintain documentation necessary to prepare for potential audits or external inquiries.
  • Build and maintain productive working relationships with agency representatives and contribute to broader discussions shaping legal and policy developments affecting Paradigm.
