Pillsbury Winthrop Shaw Pittman LLP is seeking to hire a 3rd – 5th year associate to join its Real Estate Practice Business Unit in the New York office. The ideal candidate will have a strong academic background handling sophisticated commercial real estate transactions and will be capable of managing matters with a high degree of responsibility and independence. Our Real Estate practice represents a sophisticated national and international client base on many of the most visible and complex projects across the United States. The work spans all aspects of commercial real estate transactions, including acquisitions, dispositions, construction and development, financing, and leasing, as well as the structuring of joint ventures, private equity investments, distressed assets, and public-private partnerships. The group works closely with colleagues in financing, M&A, and other practice areas across the firm. The associate will work on a wide range of complex commercial real estate matters, including: • Acquisitions and dispositions of commercial real estate assets, including transactions involving private equity, M&A, and distressed or bankruptcy-related components. • Real estate finance transactions, including construction, bridge, land, permanent mortgage, and mezzanine loans, representing borrowers, lenders, and agents. • Negotiation and drafting of sophisticated leasing transactions, including ground leases and sale-leasebacks. • Structuring, formation, and recapitalization of joint ventures and related investment vehicles. • Development matters, including asset and property management agreements • Loan syndications, participations, workouts, restructurings, and dispositions of defaulted loans • Bankruptcy-related real estate transactions, including Section 363 sales and DIP financings
