About The Position

We are seeking an Associate General Counsel to join our fast-growing, collaborative team. The ideal candidate is self-motivated, energetic, and able to thrive in a high-growth, innovative environment, contributing directly to technologies that are shaping the future of power electronics.

Requirements

  • J.D. from an accredited law school
  • AT least 15 years of relevant general corporate and commercial legal experience, preferably including experience in both a major law firm and a corporate law department
  • Experience counseling businesses on a variety of issues including commercial matters and disputes, contract negotiations, real-estate, corporate governance and best practices for corporate policies and procedures
  • Experience with drafting and negotiating contracts of various degrees of complexity
  • Ability to build relationships and work closely with business stakeholders to understand their business objectives, processes, applications and technologies
  • Ability to operate in a fast paced, sophisticated and congenial work environment
  • Ability to supervise and work closely with outside counsel to identify and minimize business risks to achieve strategic objectives on a cost effective and timely basis
  • Ability to work effectively with international business and legal contacts
  • Ability to work variable hours and travel as needed to both domestic and international locations

  • Experience in developing and implementing various training courses, within employment law and related compliance areas to promote understanding across all employees
  • Ability to effectively communicate and collaborate across teams, departments and companies to educate employees in understandable and actionable ways

Responsibilities

  • Commercial Contracts: Lead negotiation and management of commercial contracts, including with global customers and suppliers.
  • Corporate securities: work closely with the General Counsel and finance team to ensure timely and accurate filings, including periodic reports on Form 10-Q and 10-K, current reports on Form 8-K, Section 16 filings and other filings as needed, such as proxy filings and registration statements.
  • Litigation: Manage outside counse land assist with strategy on litigation matters, including commercial and employment litigation.
  • M&A and Financings: Partner closely with General Counsel to support the company on M&A and Financing
  • Investor Relations:- Establish and maintain close coordination with marketing, finance and business partners to gather information to ensure proper input into external financial reporting, investor relations and commercial press releases.
  • Employment and Labor Matters: Support human resources across US and international regions in a wide variety of employment and labor matters, including immigration, investigations and compliance.
  • Governance and Compliance: Leadership on drafting, training and enforcing company policies and compliance obligations, including cybersecurity. in addition, support finance in connection with SOX 302 certifications and record keeping.
  • Provide legal and strategic advice and guidance to the executive team on a wide range of business and legal matters.
