JOB SUMMARY Jabil Inc., an S&P 500 global manufacturer, is seeking an experienced M&A attorney to join the legal team. This role will interact with stakeholders across the enterprise and be involved in all aspects of Jabil’s M&A activity, from concept, structure and strategy to closing. We are looking for a candidate who is innovative, hands-on and enjoys a busy work environment. We will ask you to develop solutions to difficult questions daily.

Requirements

  • Good oral and written communication, good judgement, strong interpersonal skills, demonstrated ability to work in a changing, fast paced, and energetic environment.
  • Strong work ethic, ability to partner with colleagues and resolve conflict, business acumen with practical approach to problem solving, ability to prioritize and manage competing demands.
  • Juris Doctor degree and member of a bar in good standing, eligible to practice law in jurisdiction.
  • Minimum of 5 years experience as a subject matter expert for M&A matters, preferably in a national law firm or public company.

Responsibilities

  • Draft and review deal documents for all phases of M&A transactions including NDAs, confidentiality agreements, letters of intent, asset and stock purchase agreements, merger agreements, disclosure schedules and ancillary agreements, such as transition services agreements.
  • Serve as legal advisor on a variety of M&A matters and help stakeholders to progress all workstreams including, without limitation, due diligence, structure analysis and drafting, and integration.
  • Identify risks and develop risk mitigation strategies in partnership with the M&A team and other Legal team members.
  • Collaborate cross-functionally (Accounting, Tax, Treasury and business units) and within the Legal Department to achieve desired results on tight timelines and with imperfect information.
  • Engage with stakeholders across the globe to drive business-oriented solutions to complex issues arising in the context of M&A initiatives.
  • Build processes that address risk and also provide us with flexibility to move quickly.
  • Serve as legal advisor for issues arising after a transaction concludes, responding to indemnification questions and assisting with the integration of legal matters.
