Associate – Asset-Based Finance
About The Position
HireNow Staffing is acting as a direct placement partner for a prominent law firm seeking a top-tier Transactional Associate with 2–6 years of experience to join a sophisticated Asset-Based Finance practice. This role is built for attorneys who have moved beyond execution support and are ready to take ownership of meaningful portions of complex financing transactions. The practice values technical excellence, sound commercial judgment, and attorneys who can lead deal components with confidence and precision. Candidates should expect substantive responsibility, client interaction, and exposure to high-value, fast-moving transactions within a collaborative, high-performance environment.
Requirements
- 2–6 years of transactional experience in a law firm setting
- Experience gained at an AmLaw 120+ firm
- J.D. from an ABA-accredited law school with strong academic credentials
- Active membership in good standing with the New York State Bar
- Demonstrated ability to negotiate and manage complex transaction documents
- Proven analytical rigor and attention to detail in high stakes matters
Nice To Haves
- Substantive experience in asset-based lending transactions
- Background in transportation finance or closely related financing practices
- Track record of increasing responsibility and leadership on complex deals
- Strong commercial judgment and effective client-facing communication skills
Responsibilities
- Represent lenders and borrowers in asset-based financing transactions , from structuring through closing
- Draft, review, and negotiate primary and ancillary transaction documents, including credit agreements, security agreements, intercreditor arrangements, guarantees, and related materials
- Lead discrete components of transactions, coordinating due diligence, document flow, and closing mechanics
- Identify and resolve legal, structural, and commercial issues arising during complex financings
- Collaborate closely with senior attorneys, clients, and counterparties to advance deal strategy and execution
- Manage multiple transactions simultaneously while maintaining accuracy, responsiveness, and organization
- Apply strong negotiation skills to balance legal risk with business objectives
