Check us out here: www.hidglobal.com and https://youtu.be/23km5H4K9Eo As our Assistant General Counsel, you'll support HID's success by: Drafting, reviewing, and negotiating complex commercial transactions, including software, hardware, SaaS and other cloud-computing solution customer agreements, and channel partner agreements (e.g., OEM, distribution, reseller, and systems integrator agreements) Supporting the development of scalable processes and templates for all of the foregoing transactions Supporting procurement and supply chain activity and new product development agreements Creating and implementing company policies Supporting due diligence and integration efforts in mergers & acquisitions Researching and advising on legal and regulatory compliance, including anti-trust, FCPA, and export control Researching and supporting guidance to senior management on a broad range of matters including identifying areas of risk and mitigation strategies Assisting in the development of contractual and process-oriented risk mitigation strategies especially in the areas of data protection Creating and delivering training to business teams regarding commercial transactions and other legal areas of risk Providing legal guidance on data privacy matters in the United States, EU, and globally Advancing third party due diligence and risk mitigation strategies for vendors and other third party business relationships Reviewing and updating EULAs, and standard purchase order and sales order terms and conditions Integrating the legal function within the business and provide comprehensive support

Requirements

  • JD degree from a recognized U.S. accredited law school, and currently licensed to practice in at least one state
  • 4-6 years of legal experience and, ideally, prior in-house experience
  • Strong technology contract experience, including hardware, SaaS, cloud-hosted solutions and software licensing
  • Excellent oral, written and interpersonal communication skills and the ability to create and sustain lasting relationships with customers and management
  • Strong proficiency in MS Office
  • Judicious independent worker also adept at working collaboratively
  • Sound legal and business judgment and the ability to make strategic decisions and provide recommendations
  • Experience in a high growth and diverse environment; a record of accomplishment including driving results and working with a high performing team
  • Strong deal-making skills that go beyond negotiating legal terms and resolving legal issues
  • Detail-orientation and ability to manage multiple transactions and projects simultaneously under deadline pressure
  • Significant experience counseling global organizations on commercial and compliance issues
  • Proactively isolate and prioritize issues to focus on implementing both top-level, strategic solutions as well as the day-to-day initiatives
  • Ability to deliver in a demanding and entrepreneurial environment in a timely manner
