About The Position

We are an international business advisory, liquidation, private credit, and real estate services firm majority-owned by one of the largest U.S.-based asset managers. As we continue to expand our global footprint, we are strengthening our legal function to support complex transactions, cross-border operations, and strategic growth initiatives. We are seeking an Assistant General Counsel to serve as a key legal leader within our global legal team. This role blends legal expertise, strategic judgment, and business partnership. The Assistant General Counsel will support a wide range of corporate, transactional, and operational legal matters while working closely with senior leadership across the organization. Reporting directly to the General Counsel, this role offers significant exposure to executive decision-making and the opportunity to play a meaningful role in shaping legal strategy for a growing international platform. The ideal candidate is a pragmatic, business-oriented attorney with a broad base of legal experience who thrives in a fast-paced, entrepreneurial environment.

Requirements

  • 6–10+ years of legal experience, preferably with a combination of top-tier law firm and in-house experience.
  • State bar license required.
  • Strong background in corporate, financing, restructuring, or transactional law.
  • Proven ability to professionally manage time, prioritize multiple responsibilities, and process a high volume of work in a timely and accurate manner with a high attention to detail.
  • Demonstrated ability to self-start and work independently, and the desire and ability to work with a highly motivated team in a fast-paced environment.
  • Strong client service background.
  • Able to make practical, creative and decisive recommendations on outstanding issues.
  • Capacity and willingness to take on multiple responsibilities.
  • Strong business judgment and strategic thinking.
  • Excellent drafting, negotiation, and communication skills.
  • Fluent written and spoken English; experience working across cultures a plus.
  • Juris Doctor (JD) from an nationally-recognized, accredited U.S. law school; active bar membership in good standing.

Responsibilities

  • Provide legal counsel on a broad range of matters, including corporate governance, commercial contracts, financing, restructuring, and advisory engagements.
  • Support strategic initiatives, acquisitions, dispositions, and cross-border transactions, partnering closely with executive leadership.
  • Proactively identify and mitigate areas of risk.
  • Monitor and advise on new and evolving rules and regulations.
  • Advise senior management on legal risk, compliance considerations, and business strategy.
  • Assist in preparing materials and analysis for executive leadership and, as needed, board-level review.
  • Other duties as assigned.
  • Draft, review, and negotiate complex commercial agreements, including client engagement letters and MSAs, vendor agreements, NDAs, offer letters, and strategic partnership agreements.
  • Assist with subpoena responses and objections.
  • Support corporate entity management, including governance, subsidiary oversight, and intercompany arrangements.
  • Coordinate with external counsel on specialized matters, litigation, and jurisdiction-specific issues.
  • Help build and scale legal processes, templates, and best practices to support a growing global organization.
  • Partner with finance, operations, HR, and business teams to ensure legal alignment with operational objectives.
  • Contribute to the development of a collaborative, high-performing legal team culture.
  • Support compliance initiatives, internal policies, and risk management efforts across international operations.
