We are actively recruiting for a dynamic experienced corporate transactional attorney for the role of VP, Legal Counsel to join our growing legal team. Our ideal candidate is a proactive problem solver and comfortable advising all levels of management. Candidate will have excellent negotiation and drafting skills, decision-making abilities, be able to prioritize projects and deadlines, be collaborative, organized and accountable while performing in a fast-paced and evolving environment. Key Responsibilities Include: You will prepare, review and negotiate complex commercial contracts such as master services agreements, services schedules, statements of work, amendments, addenda, strategic alliance agreements, licenses, and other business-related documents. You will solve unique and complex commercial, legal and client regulatory issues with impact on the business unit or function and through conceptual and innovative thinking to develop solutions. You will review business practices and policies and advise management of potential risks and mitigations. You will analyze various legal and business issues, discuss with subject matter experts, and advise business leaders. You will support and advise business development and sales teams in creating and selling new products and services. You will assist account management in supporting long term client relationships. You will evaluate matters which may have a major bearing on the conduct of our organization's business.

Requirements

• Licensed to practice law in the U.S. and a member of the bar in good standing
• A minimum of 5 years' experience as a corporate or transactional lawyer in a premier law firm or part of that experience in a relevant in-house practice.
• Strong contract drafting and negotiation experience is required.
• Ability to anticipate internal and external business challenges and/or regulatory issues; recommend process, product or service improvements; solve unique and complex problems that have a broad impact on the business; contribute to the development of functional strategy; lead project teams to achieve milestones and objectives.
• Skilled at communicating, both verbally and in writing, with customers and at the senior leadership-level.
• Skilled in the use of Microsoft Word, and Outlook.
• Ability to handle multiple tasks simultaneously within deadlines and with a high degree of accuracy.
• Ability to participate as a member of a team, assisting in other projects as needed or as assigned.
• J.D. from a top tier law school
