About The Position

The Deputy General Counsel is a key member of the legal team, reporting directly to the General Counsel, and plays an important role in serving as the principal corporate compliance officer for the company and providing legal guidance and support across all aspects of the organization. In this role, the Deputy General Counsel assists the General Counsel in managing the legal affairs of the compliance organization, He or she will work directly with senior management and cross-functional departments in providing legal support on various matters; and perform other legal tasks as assigned.

Requirements

  • Juris Doctorate degree from an accredited law school.
  • Current law license in good standing from any U.S. state.
  • Eligibility to become licensed or practice through in-house authorization in Wisconsin.
  • 12 years of experience with major law firm and/or corporate legal department.
  • 5 years of experience leading a team.
  • Effective negotiation, communication, and drafting skills.
  • High work capacity and passion for the job, in addition to high ethical and moral standards.

Responsibilities

  • Drafting and reviewing legal documents such as contracts, legal memoranda, and other legal documents as needed.
  • Providing legal advice and guidance to senior management and other departments within the organization.
  • Lead the response to governmental inquiries and investigations and conducting internal investigations.
  • Advising on regulatory compliance and developing corporate governance and compliance policies.
  • Assist in preparing and filing reports with regulatory agencies, including the Securities and Exchange Commission (SEC).
  • Assist the General Counsel in planning Board of Directors and Committee meetings.
  • Help develop, implement, and maintain a framework for assessing and reporting enterprise risks.
  • Conducting legal research to stay abreast of developments in laws and regulations.
  • Ensuring the appropriate selection and management of outside counsel.
  • Liaising with other departments to manage legal risks and ensure compliance.
