Our solutions connect linear TV viewership with addressable data assets to benefit the marketing and media industries. This enables marketers and content owners to holistically plan, transact, and measure deduplicated audiences across digital video, OTT, connected and linear TV advertising. ROLE: We are looking for a VP, Associate General Counsel who will play a critical role on the VideoAmp legal team. The Associate General Counsel will assume ownership of VideoAmp’s commercial matters, which include building out scalable operations/workflows to increase efficiency, training internal teams, negotiating high stakes revenue, partnership, and data licensing agreements, and advising on legal matters related to product, data, privacy, marketing, and others. We are looking for a true self-starter who is great at issue spotting, solution oriented, and excellent at project management with strengths in time management, communication, and execution. Counsel will collaborate with teams across the entire company and will have experience being a commercially-minded attorney who has worked in start-up environments and can do more with less. The ideal candidate will be a team player who can work with minimal supervision, deliver a large volume of deliverables, and is solution-oriented. We are looking for someone who sees obstacles as opportunities for improvement and has served as a lead commercial attorney in prior experiences. This role will report directly to the Chief Legal Officer.

Requirements

  • JD from an accredited law school.
  • 8-10 years of experience working both at a law firm and in-house, preferably in technology and/or digital media companies.
  • Current member in good standing of the California or New York bar.
  • Leadership experience in legal operations/automation, commercial transactions, privacy, data licensing, and product.
  • Strong experience in commercial sales transactions, preferably with a large company or firm.
  • Extensive experience negotiating and drafting commercial transactions with large media companies (agencies, programmers, and/or distributors) and television publishers.
  • Exceptional verbal and written communication skills in interactions with customers, partners, and all levels of VideoAmp employees.
  • Advance understanding of contracts.
  • Strong knowledge about data privacy laws and experience negotiating DPAs.
  • Ability to work well with others, super-smart, passionate about what you do and fired up about the opportunity ahead for VideoAmp. We mean it when we say teamwork is critical here!
  • Developed business acumen, with ability to understand the company’s business and anticipate the nature and magnitude of issues that could arise in various settings.

Responsibilities

  • Provide analysis and advice on revenue and contractual matters for the Company.
  • Draft, negotiate, and review commercial contracts, including: SaaS, technology/AI, partnership, licensing, data licensing, distribution, consulting, confidentiality, and other business and legal documents.
  • Serve as the lead commercial attorney on all revenue agreements and guide and support other commercial attorneys and stakeholders.
  • Has strong knowledge on data, privacy, and product related matters.
  • Assist with legal operations including implementation of efficient workflows between various teams, management of IronClad, document retention program, build out templates, and the like.
  • Serve as a generalist to support the Chief Legal Officer, legal team, and stakeholders on all legal matters. With a small team, we all do a bit of everything and we are looking for an attorney who is willing to take on anything and learn.
  • Strong communication and time management skills are essential, along with the ability to be agile in providing solutions. We deliver a high volume of work in a short period of time and the ability to comprehend issues and risks quickly will be an important skill, as well as the ability to communicate related risks clearly to decision makers. The ability to quickly provide solutions and options is highly valued.
  • Anticipate, provide timely evaluation and guidance on, and propose mitigation strategies on, potential risks in contractual, privacy, compliance, financial, and legal areas.
  • Develop and provide education and training to the Sales team, as well as other teams as needed.
  • Assist counsel with corporate governance matters on an as-needed basis.
  • Generalist, to support the legal team and the business on any legal matters that arise.
