About The Position

As VP, Assistant General Counsel, Investment Real Estate you will report directly to the SVP, Associate General Counsel and provide support and advice on a wide variety of real estate financing transactions. Merchants Bank of Indiana is one of the nation’s top multifamily affordable lenders and in this position, you will work directly with the origination, underwriting and closing teams to close complex transactions, including first lien mortgage loans for the acquisition, rehabilitation, or construction of multifamily projects across the country. We are a small, collaborative team that supports multiple departments on a variety of topics related to banking and real estate law. After one year as our VP, Assistant General Counsel, Investment Real Estate you will know you were successful if you are able to confidently and independently handle the following: Oversee a growing number of complex transactions and relationships involving multifamily and healthcare projects. Work with SVP – Investment Real Estate and EVP - Chief Credit Officer to draft, review, and negotiate a variety of loan related documents, including loan agreements, modifications, extensions, and waivers. For unique deal structures, participate in deal structuring calls with outside counsel to ensure deal terms are addressed comprehensively in loan docs. Draft and negotiate loan participation agreements with participant banks. Support loan closing team by reviewing key legal documents and providing guidance on compliance with laws, Government Sponsored Entity (GSE) regulations/policies, and company policies. Work with multifamily and healthcare asset management and credit teams to provide guidance and advice on remedies under relevant loan documents and applicable law, for loans that may have potential issues and/or borrowers that may be in default. Assist with regulatory compliance by participating in meetings with bank regulators and GSE representatives, providing guidance to executive team, and drafting responses. Participate in complex capital market transactions, including providing guidance to asset management and capital markets teams on permissible/non-permissible actions under relevant loan and/or securitization documents (e.g., servicing decisions and reporting). Coordinate and manage outside counsel.

Requirements

  • Juris Doctor – required.
  • Licensed and in good standing in a U.S. state – required.
  • 10 years of real estate and lending legal experience – preferred.
  • Experience with real estate financing for multifamily affordable housing – required.
