About The Position

The Vice President, Assistant General Counsel will supervise the legal support of all operations. The position will also support strategic initiatives and projects as assigned by the General Counsel. The Assistant General Counsel will have the following direct reports: · All operations attorneys Essential Functions: · Manager of the THR operations attorney group. · Hospital attorney for various Texas Health Facilities · Supports the legal and compliance components of strategic initiatives; research and planning of new programs; project implementation, tracking and coordination and contract negotiations. · Reviews laws and regulations for potential impact on, and compliance by, the system. · Coordinates effective and efficient representation in all transactions including without limitation, M&A, financial offering, real estate, managed care and supply chain. · Oversees and manages delivery of legal services, including the selection, retention, management and evaluation of outside counsel, to facilitate and accomplish organization goals, initiatives and priorities. · Interprets and ensures compliance where applicable, of laws, rulings, regulations, agreements, and contracts for the organization, as well as conducting research and analysis of specific legal questions and preparing memoranda, opinions, and position papers upon request. · Develops, communicates and monitors policies and procedures for the organization's standards of legal and ethical conduct. · Coordinates with the HR department to develop an effective compliance and legal matters training program, including appropriate introductory training for new employees and ongoing training for existing staff and ensure that there are consistent consequences for failure to comply with privacy policies for all individuals within the organization. · Develops, implements and maintains systems and processes for the documentation and tracking of legal matters including, for example, filings and registrations, legal threats, business agreements and the like. · Participates in the definition, development and drafting of organization internal documents, policies, procedures and programs as requested. Requirements

  • Juris Doctor degree required.
  • Bachelor's degree required.
  • 10-15 years’ progressive healthcare experience with a strong preference for regulatory healthcare law experience required.
  • Strong academic credentials; excellent writing and speaking skills; ability to relate with all levels of personnel within THR as well as medical staff.
