About The Position

The Vice President, Associate General Counsel will work with the senior leadership and the legal team to counsel the organization on a spectrum of contractual, compliance, risk, and corporate governance issues. On a daily basis, the VP, Associate General Counsel will meet with internal and external business partners to manage legal issues, conduct legal research, review and draft legal documents, and collaborate with other departments within the organization as needed to further the organization’s mission and help it accomplish its annual goals. This position will report to the Senior Vice President, General Counsel and will work at City Year’s Boston headquarters.

Requirements

  • Bachelor’s Degree from an accredited institution
  • Juris Doctor Degree from an accredited institution
  • Admission to a U.S. state bar
  • 5 years of experience in corporate transactions as an associate in a mid-size to large law firm or in-house counsel in a public agency, non-profit or private entity
  • Familiarity with the litigation process and administrative proceedings
  • Authorized documentation to work in the United States of America

  • Occasional lifting or carrying of items up to 10–20 lbs (e.g., office supplies)
  • Ability to communicate clearly in person, by phone, and in writing

Nice To Haves

  • Admission to the Massachusetts Bar, in good standing

Responsibilities

  • Draft, review, and negotiate contracts, including vendor/service agreements, confidentiality agreements, separation agreements, and other transactional documents that advance programmatic and operational priorities
  • Lead insurance and risk management activities by evaluating organizational exposures, coordinating appropriate coverage (e.g., general liability, D&O, cyber, property), reviewing insurance provisions in contracts, and partnering with internal stakeholders to reduce operational and programmatic risk
  • Provide practical, solutions‑driven counsel in the areas of finance, real estate, intellectual property, litigation, and employment law
  • Represent the organization in legal proceedings
  • Monitor changes in legislation and advise internal business partners accordingly
  • Conduct legal research and draft legal memoranda, position statements, motions, and pleadings
  • Translate complex legal concepts to internal and external stakeholders at all levels
  • Provide legal counsel on both transactional and litigation matters, including drafting and negotiating agreements, managing disputes, and overseeing litigation strategy in collaboration with internal stakeholders and outside counsel
