About The Position

The Vice President - Counsel role at Sumitomo Mitsui Banking Corporation (SMBC) is a pivotal position within the Legal Department, specifically within the Technology, Operations, and Procurement (TOP) Legal team. This role is designed for a seasoned legal professional who will report directly to the Executive Director and Head of the TOP Legal team. The primary focus of this position is to provide strategic legal advice and support in the negotiation and documentation of third-party vendor contracts. The successful candidate will work closely with various business units, including Information Technology, Information Security, Operations, Procurement, Third-Party Risk, Human Resources, Capital Markets, Nikko (broker dealer), and Corporate Services. In this role, the Vice President - Counsel will serve as a strategic legal advisor, addressing issues related to technology, outsourcing, intellectual property, and data management. The candidate will be responsible for providing commercially pragmatic and transparent legal advice to business clients, ensuring that all legal aspects of vendor transactions are thoroughly reviewed and negotiated. This includes a wide range of agreements such as software (both on-premises and SaaS/cloud), outsourcing, hardware, systems, telecommunications, and professional services contracts. The role also involves reviewing non-disclosure agreements and various other vendor commercial agreements to support the business's operational needs. Additionally, the Vice President - Counsel will provide general legal counsel on financial services-related technology transactions, supporting the Bank's third-party sourcing and procurement efforts. The candidate will be expected to identify and escalate any risks or concerns associated with third-party contracts, interpret legal and regulatory developments impacting commercial vendor transactions, and maintain subject matter expertise in technology, operations, and procurement regulatory requirements. Staying updated on emerging technology legal issues, including cloud computing, artificial intelligence, fintech, and data privacy, is also a critical aspect of this role.
