Our client is looking to expand their team and is offering a unique opportunity for a Tax Manager with public accounting experience in the Private Equity (PE) sector (sponsor space) to transition into the Private Equity (PE) sector as a Tax Director/Controller. This is a rare chance for a candidate currently in public accounting to pivot into a new and exciting career path. The role requires prior experience in the Private Equity industry, with a focus on tax. Requirements

  • Prior experience in public accounting with a focus on tax in the Private Equity sector.
  • Strong understanding of tax regulations and compliance requirements for investment funds.
  • Experience in financial reporting and working with auditors.
  • Ability to develop and implement tax-efficient strategies.

Nice To Haves

  • Experience with investor tax reporting, including K-1s and tax summaries.
  • Familiarity with capital calls and distributions processes.
  • Knowledge of carried interest calculations and management fees.

Responsibilities

  • Work directly with the firm's tax advisors to complete all necessary tax filings for its investment funds and Management Company across multiple U.S. jurisdictions, ensuring compliance with all relevant tax regulations.
  • Ensure timely and accurate estimated payments for both U.S Federal and state tax jurisdictions for all applicable taxes to avoid penalties.
  • Oversee the preparation of investor-specific tax reports, such as K-1s, tax summaries, and capital account statements.
  • Liaise with investors to respond to tax-related queries and provide them with tax information necessary for their individual filings.
  • Ensure that all investor-related tax reporting is accurate, timely, and compliant with regulatory requirements.
  • Work with outside tax and legal advisors to develop and implement tax-efficient strategies for the fund's investment activities including structuring, financing and exit strategies.
  • Work with the fund administrator to prepare and distribute capital calls and distributions, ensuring that all transactions are handled efficiently and accurately.
  • Work with fund administrator to prepare waterfall calculations to determine carried interest.
  • Work with fund administrator to prepare quarterly financial reporting packages.
  • Work with auditors to complete annual audit.
  • Learn and assist in the process of funding deals, including coordinating with relevant teams and stakeholders to ensure smooth operations.
  • Oversee the fund's cash flow management, including tracking incoming capital, managing operating expenses, and ensuring there is enough liquidity for capital calls and distributions.
  • Calculate and track management fees based on the terms of the fund's limited partnership agreement.
  • Participate in the formation of fund level borrowing facilities. Prepare borrowing and repayment requests. Insure compliance with loan covenants and compliance reporting.
  • Work with the Chief Compliance Officer and outside compliance consultants to make required regulatory filings and ensure regulatory compliance.
