Responsibilities

Advise clients on federal, state, and local tax matters, including structuring transactions to optimize tax efficiency and minimize risk.
Analyze tax implications of corporate transactions such as mergers and acquisitions, reorganizations, financings, and entity formations.
Conduct legal research and draft tax memoranda, opinion letters, and technical analyses on complex tax issues.
Represent clients in tax controversy matters, including audits, administrative appeals, and disputes before the Internal Revenue Service and state taxing authorities.
Counsel clients on Delaware-specific tax considerations in connection with entity formation and governance.
Negotiate and resolve tax disputes, including settlements and voluntary disclosures where applicable.
